Job Description

Job Family Descriptor Deal with DOT and TRAI Engage with government statutory industry bodies and authorities in both nontelecommunications and telecommunications domains
Coordinate efforts associated with the preparation of regulatory documents or submissions Communicate with regulatory agencies regarding presubmission strategies potential regulatory pathways compliance test requirements or clarification and followup of submissions under review
Prepare or direct the preparation of additional information or responses as requested by regulatory agenciesCoordinate prepare or review regulatory submissions for domestic or international projects
Build represent and safeguard the organizations brand and reputation in public through relationship building with critical stakeholders like key industry government bureaucratic and statutory authorities
Represent TCL in forums like regulatory authorities to create a conducive policy ecosystem for TCL and its critical customer industries
Coordinate schedule and organize Board and Audit Committee meetings
Advise to all business teams on compliance of business operations to regulatory requirements Draft resolutions policies and amendments to the Companys bylaws and other corporate documents statutory forms for lodgment with the relevant authorities
Manage Corporate Secretarial matters for TCL India subsidiaries Develop and maintain litigation systems advise the Company on disputes with third parties handle all pending or threatened litigation matters as well as legal claims brought by the Company against third parties
Obtain Maintain Regulatory Authorizations Network Security Audits and Reporting New Market Entry Regulatory Advice Responsible for overseeing telecommunications regulatory issues within assigned regions Responsible for specialized technical expertise in US National Security data protection and cybersecurity including ensuring NSA compliance and being the main point of contact with USG personnel and auditors Ensuring that authorizations and necessary resources are obtained in assigned countries overseeing matters relating to licensing numbering ongoing compliance interactionnegotiation with regulators and other government officials within assigned countries main point of regulatory contact to assist with new product rollouts and interpret complex details of product roll out to full regulatory team advise commercial attorneys on regulatory issues product details and specifications as well as National Security data protection and cybersecurity matters including advising on minimizing any associated risks
Represent TCL in forums like regulatory authorities to create a conducive policy ecosystem for TCL and its critical customer industries
IP Advisory Clearance Registration Awareness IP review of new solutions Trademark product name URL clearances Patent landscape and prior art searches IDF review and patent filing Maintenance of the trademark and patent portfolio IP awareness sessions
Manage Corporate Secretarial matters for TCL its subsidiaries Develop and maintain insider trading compliance and similar compliances maintain and develop corporate secretarial filing processes to ensure compliance with the Companies Act and similar legislation globally organise conduct and maintain all records relating to activities of the boards of directors of TCL and its subsidiaries Broad outline of the Role Purpose - Broad objective of the role Leads and acts as the focal point for all legal aspects relating to regulatory commercial matters Manages all international telecommunications regulatory and commercial matters of the Company outside of its home market in the Americas Europe and Asia Pacific Manages the Company s litigation portfolio outside of its home market Operating Network - Key External Government authorities External counsels senior lawyers across jurisdiction law firms third party vendors and suppliers Tata Sons and other group companies Operating Network - Key Internal All heads of functions and business units in company departments such as procurement HR Sales MD CEO s office senior management Board of directors auditors members of board committees and all Legal team members Size and Scope of Role - Financial Manpower salary approx 1 million USD Legal spend op ex approx 1 million USD Size and Scope of Role - No. of direct reports 8 to 10 Size and Scope of Role - Total team size 30 Size and Scope of Role - Other size parameters Minimum qualification & experience Juris Doctorate L L M L L B with 15 20 years of experience out of which 5 7 years should be spent leading handling cross border and cross cultural teams and experience in domestic and international corporate commercial and contract law Experience in the telecom sector for a minimum of 4 years is a must Other knowledge/skills Experience in leading a large size team broad experience in handling transactional matters especially relating to M A IT and or outsourcing Should have experience in working across management levels and in international business environments Excellent communication technical and negotiation skills with the ability to work autonomously and manage multiple transactions and persons across a range of relevant jurisdictions Key Responsibilities 1 General Legal Adivosry to Americas Europe APAC Oversees advises resolves all legal aspects in the region Works with other divisions especially Tax in drafting and or revising Company policies regarding permitted commercial activities Acts as the main escalation and supervision point for the commercial litigation team Conducts legal research and analysis on selected topics and identifies opportunities for coninuous improvement in quality of support supporting general and strategic corporate projects including financings mergers and acquisitions and special projects effectively manages a significant legal and professional budget Manages all international litigation and pre litigation matters Performance Metrics Timelines Quality of support Internal customer feedback Submit litiagtion report quaretrly 2 Risk evaluation and reporting to Board Manage and mitigate risks in the regions responsible for Identify potential risks and prioritize the tolerance for risk based on the organization s business objectives Prepare quarterly litigation reports and presenting the same to the board Performance Metrics Legal risk profile of organization Mitigation of litigation costs Quality of report 3 Regulatory ensures that all regulatory and related authorizations are obtained and maintained in full compliance with applicable law resolving regulatory issues affecting both proposed and existing products managing the legal department s review and approval of all new product and product enhancement introductions advising on regulatory issues in connection with complex customer solutions Providing strategic advice to the business on regulatory constraints issues with respect to emerging markets and or technologies Performance Metrics Timelines Customer Satisfaction 4 Team Development Regularly review team structure and assess talent requirements Participate in the recruitment and selection process for team reporting to this position Conducts goal setting and performance review for the team Drive team development engagement and reward initiatives Provides training for counsel and business sales teams on legal or related issues where required Builds relationships with sales and business teams senior managers Performance Metrics Team engagement age attrition Manpower cost and productivity Technical Competencies Knowledge / Skills
