Responsibilities of Legal Function

  • Responsible for ensuring good corporate governance and upholding highest standards of ethics, integrity and compliance.
  • Contract Management - Drafting, vetting and negotiating Legal documents including but not limited to agreements, term sheets, MOUs, Leave & License Agreements, Lease Deeds, Memorandum of Understanding, Legal notices & Reply to the Notices/ Show Cause Notices, Indemnity Bonds, Power of Attorney, Affidavits, Non-Disclosure agreements, Confidentiality agreements, Service Agreements, etc. and maintenance of its repository.
  • Litigation Management Administration of end-to-end process-flow of litigation and contentious matters filed by/ against the Company. Instructing and briefing external counsels, reviewing, drafting and vetting of pleadings before Court/ Regulatory. Maintenance and control of legal expenses including negotiation of fee schedules with external counsels. Organizing and conducting timely review of all ongoing cases with Company\xe2\x80\x99s senior management to ensure accurate categorization of risk and strategy for speedy resolution. Appointment and Empanelment of advocates. Sanctioning of legal expense and professional fees of lawyers.
  • Providing the quarterly compliance reports for all statutory compliances of the company including compliance with IBC/ IBBI Regulations and tax related compliances.
  • Counsel on various aspects of IP law (trademarks, copyrights, designs) such as registration, enforcement and prosecutions, management and protection.
  • Discussions with the legal retainers and evaluation of retainers.
  • Appointment and Empanelment of advocates. Sanctioning of legal expense and professional fees of lawyers.
  • Monitoring of the litigation portfolio and maintaining good rate of recovery
  • Advising on contentious employee relation matters, disciplinary sanctions, sexual harassment cases, etc.
  • Providing general Legal advice on business, commercial, legal, governance and ethics issues.
  • Updating all concerned teams/ departments on key issues and regulatory/ statutory changes.
  • Developing and leading corporate legal strategy to promote and protect the company\'s matters.
  • Developing and leading internal audit and corporate compliance programs
  • Overseeing delivery of legal services and resources to accomplish corporate goals, strategies and priorities
  • Maintaining proper corporate interactions with the relevant local, state and federal governmental bodies, legislatures and the community at large
  • Advising the MD & CEO and other senior management officers on a variety of legal issues.
  • Providing effective and efficient legal support for business restructuring, contracts, documentation management, providing legal advisory services and ensuring effective management of legal and contractual risks.
  • Effective & timely coordination with lawyers for timely filing and speedy disposal of litigation.
  • Timely filing of replies, affidavits and written statement.
  • Assessing closure & settlement of cases.
  • Litigation cost control & reduction. Implementing Litigation management tool
  • Initiating/ closure of arbitration in contracts and defending arbitration claims.
  • Review of high value contracts and highlighting risks. Preparing an inventory of all high value contracts for review.
  • Standardising frequently executed contract and developing templates of contracts and agreement. Developing the contract life cycle management and document repository tool.
  • Developing compliance tracking and management tool.
  • Issuing and replying to legal notices including the recovery notices.
  • Assisting business to in the settlement of claims
  • Compliance with all applicable corporate laws.
  • Ability to independently handle Legal function for the Company and any related/group entities in India.
Responsibility of HR function
  • Overseeing the HR function of the company, collaborating with senior leadership to understand the organization\'s goals and strategy related to recruiting and retention.
  • Taking responsibility for developing and executing human resource strategy in support of the overall business plan and strategic direction of the organization, specifically in the areas of succession planning, talent management, change management, organizational and performance management, training and development, and compensation.
  • Providing strategic leadership by articulating HR needs and plans to the executive management team, shareholders and the board of directors.
  • Establishing and implementing HR efforts that effectively communicate and support the company\'s mission and strategic vision.
  • Working with the company\'s executive management team to establish a sound plan of management succession that corresponds to the strategy and objectives of the company.
  • Developing comprehensive strategic recruiting and retention plans to meet the human capital needs of strategic goals.
  • Developing and implementing comprehensive compensation and benefits plans that are competitive and cost-effective.
  • Planning, leading, developing, coordinating, and implementing policies, processes, training, initiatives, and surveys to support the organization\'s human resource compliance and strategy needs.
  • Maintaining knowledge of trends, best practices, regulatory changes, and new technologies in human resources and employment law; applying this knowledge to communicate changes in policy and practice.
  • Managing the departmental budget and driving the performance management system of the company.
  • Ensuring the compliance with the stipulated time as defined under a law.
Desired Skills & Experience:
  • Qualification: Qualified Law graduate(preferably masters in law)
  • Experience: 15 plus years of work experience (post qualification) in law and HR, Experience in IBC is preferable.
  • Key Skills: Strong subject knowledge, Decision making, Result oriented & Interpersonal skills.
  • Candidate with the exposure in Banking and finance sector is preferred.
  • Age: Should not more than 50 Years.
