Department Description

We are part of FIL\xe2\x80\x99s General Counsel\xe2\x80\x99s team and as such work very closely with our legal, tax, regulatory and commercial counterparts based in the Asia Pacific, United Kingdom, Continental Europe and other jurisdictions on cross border contracts and other legal documentation. Fidelity\xe2\x80\x99s in-house lawyers provide proactive and pragmatic advice to the business on a diverse range of issues, such as but not limited to new business initiatives, operational and customer matters and providing regulatory analysis. India legal team provides end to end support on procurement contracts for FIL entities globally.

We have a strong focus on maximising in-house delivery and minimising use of external law firms.

In India, we are responsible for assisting in legal matters relating to all Fidelity International entities/businesses in India. We currently support 3 India based legal entities (comprising SEZ/DTA units) and equal number of Trusts set up for the benefit of certain employees. We also manage corporate secretarial tasks for all of the Fidelity International entities/Trusts.

Purpose of the Role

This is a global role having direct interface with our colleagues located globally. You will assist business and global sourcing / procurement teams on drafting, negotiations, review of procurement / commercial contracts and matters related to existing contracts in connection with Fidelity International\xe2\x80\x99s business, regardless of jurisdiction and other related matters.

This position requires ready access to and regular communication with our colleagues in different geographies, eye for detail, diligence and willingness to learn.

Key Responsibilities
  • Drafting, reviewing and negotiating commercial contracts and documents including but not limited to Cloud Outsourcing Agreements, SaaS, IaaS, Software License, Master Services Agreement, Statement of Works (SOWs), UK / EU Data Protection Agreements, contracts amendments, change orders.
  • Assess scope of work, commercial and legal aspects of the contract for potential risks related to regulatory compliance applicable to Tech / cloud outsourcing, liability & Indemnity, UK / EU / APAC data protection regulations and anti-bribery and corruption.
  • Collaborate with procurement team resolve issues concerning commercial transactions.
  • Ensure compliance with relevant Company policies
  • Providing legal advice and support to various business units on need basis
  • Hand-holding junior members of the team to ensure compliance with relevant Company policies
  • Managing team performance and stakeholder management
  • Providing legal support to the project delivery, Service implementation and other business units on need basis


Experience and Qualifications Required
  • Ideal candidate must have LLB qualification with 6-8 years of experience in-house experience in contracts drafting and negotiating in a multinational company (preferably Financial Industry/IAsset Management Company/Information Technology)
  • Knowledege and experience on Tech / Cloud Outsourcing Regulations e.g. ESMA, EBA, EIOPA relevant to cloud contracts
  • Extensive experience of reviewing and negotiating (mid to high complexity) Tech. and Non-Tech commercial contracts including but not limited to contracts related to Cloud Services (SaaS, IaaS), Outsourcing arrangements, Software Licensing, Market Data, Staff Augmentation services, Professional / Consultancy Services, Support Services Agreements / Service Level Agreement etc.
  • Excellent oral and written communication skills; excellent judgment; business sense; high standards of ethics, honesty and integrity
  • Strong attention to detail, organization and ability to successfully manage several ongoing assignments.
  • Good understanding on a wide range of legal subjects, ability to build on this knowledge and bring in relevant SME\xe2\x80\x99s to resolve issues as and when needed.

  • Cross-border /international engagement linked experience is must
  • Strong attention to detail, organization and ability to successfully manage several ongoing assignments.
