Job Description



A. PRIMARY Purpose:

  • Hold Company Secretary statutory position for the one of the group companies.
  • Be part of JC India + Legal/Contracts/Secretarial/Compliance Team and be involved in Secretarial/compliance/ legal matters of JC India.
  • Handling contracts management activities for pre-award/post-award activities on day-to-day basis in coordination with operations & sales team.

B. Primary DUTIES:

  • To hold Company Secretary statutory position of the one of the group companies (Pvt. Limited) for statutory compliance purpose and handle the secretarial matters.
  • Assist to ensure compliance of the provisions of Companies Act and rules made thereunder and the ICSI Secretarial Standards applicable for the of various group entities.
  • Assist to convene the meetings of the board of directors, committees, shareholders, and to prepare the draft of the notice, the agenda and the minutes & resolutions of the proceedings of the meetings of the board of directors, committees and shareholders - as per the applicable provisions of the Companies Act and the ICSI Secretarial Standards.
  • Assist in preparing the draft of the Annual Report including drafting of notice of general meeting, directors report, corporate governance report, etc.
  • To prepare/ update all the statutory registers of the Company and ensure filing of ROC returns as per the provisions of the Companies Act.
  • To prepare all the requisite periodical returns, disclosures, undertakings, preparation of policies, etc. in accordance with various applicable statutory provisions incl. RBI guidelines.
  • Support the BT&S business in pre-award & post award stages of contracts, tenders, service contracts, AMC and all sub-contract agreements.
  • Coordinate with sales & operations team for review contracts, purchase orders, agreements, NDAs, tenders, bid documents, customer contractual terms and conditions etc. and highlight risks, suggestions for mitigation of risks in consultation with Legal Counsel \xe2\x80\x93 India in line with JC policies.
  • Generate necessary correspondence in coordinating with operations team and collate all required documentation and initiate drafts on delay issues, AR outstanding, extension of time, variation orders, etc., and ensuring required follow up in resolving the issues.
  • Drafting and sending appropriate contractual correspondence for slippages in the project schedule, extra works, site issues, etc. in consultation with Legal Counsel as may be required.
  • Drafting response to correspondence from customers/sub-contractors on the project related issues and issue the same in consultation with Legal Counsel as may be required.
  • Provide support to the procurement team for reviewing sub-contracts & vendor contracts.
  • Manage India Cash initiatives, e. g. AR past due collection and UBR review.
  • Handling litigation matters pertaining to the businesses.
  • Preparing and submitting weekly/monthly reports on the work activities.
  • Preparing training materials and conducting the trainings to business teams on contracts/legal/commercial topics.

C. Education, Technical Skills, knowledge and experience

CS, LLB 4-6 years of experience in the fields - secretarial/statutory compliances, contracts management, commercial/legal affairs, commercial documentation. Proficient in MS Office. Good communication and presentation skills Strong customers focus and service orientation Self-accountability and ownership. Capabilities for detailed analysis/assessment of matters.
