Job Description


We\'re hiring for the role of Assistant Manager - Legal & Compliance for a Business Consulting Startup based out in Gurgaon. The company is funded by Nexus Venture Partners and have offices and teams spread across US, India and Middle East.



- Collaborate with Finance and HR departments to monitor enforcement of standards, regulations and relevant regional employment laws.

- Support in resolution of employment related issues for India and other regions by driving a strategy, draft relevant documents, liaison with external counsels, and provide other support as may be required.

- Provide legal analysis and counsel on policy, on all labor and employment issues concerning the business and government operations within and outside India.

- Review employment contracts, Advice Company on employment matters while recommending legal action, mediate with employees, within and outside India.

- Assess and identify possible compliance risks and take remedial actions, within and outside India.

- Provide compliance training as and when required.

- Keep abreast of regulatory developments within or outside of the company as well as evolving best practices in compliance control, within and outside India. Ensure policies, regulatory, or statutory changes that might affect the organization are up to date and approved by the committee, within and outside India.

- Handle correspondence, collate information, write reports and communicate decisions to relevant company stakeholders. Prepare reports for senior management and external regulatory bodies as appropriate.

- Prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs) and follow up on action points.

- Convene and service AGMs, take minutes, draft resolutions POAs and other such documents, and lodge required forms and annual returns with appropriate departments, within and outside India.

- Maintain statutory books, including registers of members, directors, and secretaries within and outside India.

- Implement processes or systems to ensure good management of the organization compliances within and outside India.

- Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements within and outside India.

- Drafting, vetting, standardizing, negotiating and closing all types of agreements and documents.

- Responsible for accurate and timely review and execution of all vendor and customer agreements and NDAs.

- Liaison with the Company stakeholders to close any legal issues which may arise.

- Drafting replies to legal notices and interacting with the counter-party counsel to resolve and close any legal issue in the interest of the Company.

- Efficient management and operation of contract management systems for all executed contracts.

- Any other matters involving interpretation of laws / rules/ regulations

- Review employment contracts, Advice Company on employment matters while recommending legal action, mediate with employees, within and outside India.

Qualification:

- Bachelor\'s degree in law from any national law school and qualified CS will be an advantage

- 5+ years of total experience - with a top tier Law firm / CS firm.

- Understanding and prior experience of managing India/US/European/APAC company compliance requirements.

- Contract vetting/ drafting experience is essential.

- The candidate must have excellent communication.

- Experience of working in an extended (offshore-onshore) global team (USA specific) model would be a plus.

- Strong organizational and interpersonal skills, people management, including ability to work effectively with the business team and with senior management team; proactive, with excellent research, analytical skills and should be able to exercise judgment and discretion to opine on legal issues effectively.

- Should abreast with all the applicable statutes and laws

- Experience on all public policy/governmental relations priorities as well as engage with regulators/government bodies to drive public policy objectives for the organization

- Ability to take initiative, adapt quickly to changing priorities and work with a high sense of urgency across a variety of matters.

- Distinctive problem-solving and analytical skills combined with effective business judgment.

- Strong Microsoft Excel alongside good management reporting and presentation skills.

- Meticulous attention to detail and the ability to work well under pressure.
