Assistant Company Secretary - Mumbai Education \xe2\x80\x93 Company secretary + LLB Exp \xe2\x80\x93 2 to 10 yrs Job Profile :- 1) Drafting various policies / Notices 2) Compliance for Foreign Direct Investment(FDI) filling FCGPR with SM department and compliance under FEMA Act. 3) Compliance for CIC registration,CKYC & FIU-IND. 4) Compliance for Shifting of Branch Office and closure of Branch Office 5) Compliance under Right Issue inclusive of Renunciation of rights. 6) Compliance under private placement for issue Equity shares with DVR. 7) Compliance under Private placement for issue of compulsory convertible Preference shares(CCPS) 8) Assisted to making SHA and SSA with investors appointed Law firms. 9) Acquainted myself with the procedure of calling and convening of Board Meetings,EOGM,Annual General Meeting and other committee Meetings, including preparation of Agenda for the said meetings and post meeting compliance. 10) Maintenance of Statutory Registers, Minutes book, Board Meeting attendance Register and other registers as per regulatory compliance. 11) Co-ordination with various lenders for getting Term Loan Facility along with execution of Facility/ Hypothecation documents. 12) Filling various forms with Registrar of companies for Increase in Authorised share Capital, Appointment of Director & CFO,Ben-2,Change of Registered Office,ESOP,charge creation & satisfaction, MGT-6, Financial & annual return and so on. 13) Compliance for re-organization of distinctive numbers of equity shares with DVR. 14) Dermaterialization of shares. 15) Compliance Under Shop & Establishment Act,POSH Act, Esic etc. 16) Compliance under IPR for registration of Trademark, 17) Liasoning with various statutory authorities,RTA, Registered valuer and professionals. 18) Processing shareholders request for Transfer/Transmission/Dividend and duplicate issue of shares. 19) Resolving share holders complaints. 20) Management discussion and Analysis Report and Compilation of the same in the Annual Report of the Company Legal Compliance\xe2\x80\x99s 1. Drafting of various Legal notices, Declarations, Affidavit, Power of Attorney, Agreements, Police Complaints, Petitions etc. 2. Arrangement of 30/60/90 DPD notices, Loan recall notices, Demand notices, Presale notices, Police station intimation from various advocates. 3. Represent the company in arbitration proceedings and take section 17 award and Final award as well. 4. Filling of execution petition with various courts. 5. Filing of sec.138 under N! Act in various courts(cheque bounce and dishonor of Electronic fund transfer) 6. Making Legal strategies for each intentional fraud customers and execute the plane through civil criminal laws 7. Liaising with various advocates,Arbitrators, Solicitors and Professionals. Job Type: Full-time Salary: 99,630.20 - 935,792.43 per month Benefits:
