As Company Secretary, you will be instrumental in helping the office run smoothly, provide support to managers, senior-level executives, and departments. You\xe2\x80\x99ll need to ensure that our company complies with financial and legal requirements, and maintain high standards of corporate governance. You also need to have a thorough understanding of the laws that affect your areas of work so that you are equipped to provide appropriate legal advice whenever needed. Company secretaries provide guidance to company directors about how their organizations should be directed, managed or controlled. This is also known as corporate governance and it includes ensuring that the company complies with legal and regulatory requirements. Typical responsibilities of the job include: Roles and Responsibilities
  • Preparation of Notice, Agenda , Notes to Agenda of Board Meetings, Committee Meeting and General Meetings
  • Preparation of various minutes book of Board Meeting, Committee Meeting and General Meeting
  • Preparation of statutory registers and records
  • Preparation of Directors Report and Annual Report
  • Filling of various forms with RoC / MCA, RBI
  • Ensuring timely updation of investor page on website of the company
  • Compliance with various sections of Companies Act and Secretarial Standard;
  • Preparation and vetting of various policies as per the requirement of Companies Act;
  • Familiarizing company with various regulatory changes/amendments in Companies Act, 2013, Secretarial Standard (SS), and their impact and applicability on the company and implementation of the same.
  • Vetting and preparation of various agreements such as Non-Disclosure Agreement, Commercial Agreements, Partner Agreement, Joint Venture Agreement, Lease Agreement, Agreement for Sale and Sales Agreement etc.;
  • Coordinating with colleagues and consultants (Chartered Accountants and Company Secretary, Lawyers, Officers)

Qualification and Experience
  • Company Secretary (Candidate having additional LLB degree will be preferred fist)
  • 1-3 Years experience in corporate or Firm of Practicing Company Secretaries
Job Types: Full-time, Regular / Permanent Salary: 910,000.00 - 946,321.16 per month Benefits:
