Job Brief :

- VMock is seeking a Legal Counsel with 10-15 years of relevant experience to support its business in India and US, working closely with the management team and partnering with all functions within Client Success (CS), Sales and other groups (HR, Finance and Operations). In this role, you will primarily support VMock with compliance, corporate maintenance and reporting for all legal matters at various stages of our strategic transactions practice involving mergers, acquisitions, investments and other strategic transactions including any associated integration and compliance actions. The successful candidate will be a self-starter with excellent judgment who is able to prioritize and manage multiple competing responsibilities.

Responsibilities :

- Analyze, structure and draft contracts and licenses, strategic frameworks, and other commercial agreements.

- Review, Draft and negotiate all documentation governing business and large scale contracts (including Client contracts).

- As an Inhouse Counsel, responsible for drafting, reviewing, vetting, red-lining of Commercial and Client Contracts like Software-As-A-Service agreements, Subscription Agreements, Data Processing Agreements, Non-Disclosure Agreements, and Data Privacy Agreements.

- Collaborate closely with internal stakeholders, including cross-functional teams, to gather necessary information, evidence, and documentation for legal matters and to provide cohesive and effective legal support.

- Assist the sales teams in preparation of commercial bids from a legal perspective and to support in the contractual structuring of projects and bids. This will include the review of contract documents, framework agreements and services agreements in close cooperation with the sales team and commercial counterparts wherever necessary.

- Actively participate in the development of processes and policies relating to the Legal Department.

- Advise the business teams on strategizing and resolving legal issues that arise in existing commercial relationships, potential disputes and addressing any related enquiries.

- Serve as a trusted legal advisor to the Client Success and Sales team, functional departments, and the Senior Management and provide agile, practical and business minded advice.

- Stay updated with General Data Protection Regulation (GDPR), Data Privacy and Security, US Business, State and Federal regulations, ensure compliance and provide proactive advice to mitigate legal and business risks.

- Support and upkeep the internal documents and maintain a detailed repository of all associated records, and contracts.

- Assist with strategic business partnerships in various stages throughout the contract lifecycle and vendor negotiations.

Requirements :

Experience :

- 10-15 years of overall work experience with 8+ years as an in-house legal counsel, specifically handling US and Global Client Contracts, Strategic Alliance & Partnership Contracts, IT services Contracts, Litigations and Corporate laws.

- Significant experience with Contract Management, GDPR, Data Privacy, Data Protection, Information Security and FERPA regulations, as an in-house counsel.

Skills :

- LLB or equivalent law degree from a recognized university.

- An individual contributor and a self-starter who operates independently in a fast-paced, global environment

- Proficient in Contract Management lifecycle, Negotiation, Legal Writing, Drafting, Regulatory Compliance, Data Security and Privacy.

- Excellent judgment, english communication (verbal and written), organizational and interpersonal skills, and the ability to work collaboratively across business functions.

- High attention to detail, confident and efficient in advising and presenting to the senior management.

- Excellent analytical and drafting skills, organized and committed to deadlines.

- Proficient with Google Suite and Microsoft Office Suite.
