What does a Senior Corporate Counsel (Corporate, Securities, M&A, and Taxation) really do This Senior Corporate Counsel (Corporate, Securities, M&A, and Taxation) role is a tremendous opportunity to continue shaping the future of the Legal Department at TaskUs. We are looking for a hands-on attorney to add value to our growing team. The ideal candidate will report to the Director - Corporate, Securities, M&A, and Taxation, in leading and supporting corporate strategic and tactical legal initiatives and will provide broad-based legal counsel support to the Company throughout our growing organization, all in a manner that displays legal excellence, attention to detail, and a proactive and practical approach . The Senior Corporate Counsel (Corporate, Securities, M&A, and Taxation) will support the different departments of the organization on a variety of day-to-day legal matters that relate to governance issues, regulatory compliance, and corporate transactions. The candidate must also have experience and understanding of how to manage legal/corporate documents at a sophisticated capacity and is critical that he/she is able to prioritize multiple requirements and is eager to learn how to be the best-in-class . As a Senior Corporate Counsel (Corporate, Securities, M&A, and Taxation you will: Provide support and guidance on matters of corporate compliance, governance, tax, and transactions, in a way that supports the growth and compliance of the business Support the establishment and administration of compliance governance framework for all entities across the globe to ensure levels of governance are clearly communicated and adhered to Facilitate a consistent application of corporate governance framework and compliance for all entities, and support the team\'s drive to increase awareness and commitment to good governance and ethical conduct Co-manage the efficient and effective operation of the Secretariat function by acting as a minute secretary to a portfolio of Executive Committees/Meetings. Act as a delegate when required Assist in the regular review of governance processes including analyzing existing processes, recommending and implementing changes, documenting new processes and procedures to support compliance, continuous improvement and innovative best practice in governance Report on corporate compliance and governance matters in a timely manner Perform a range of tasks to support the team including but not limited to retaining the charters, disclosures of interest, and internal/external directors registers, maintaining archive governance records, reviewing and updating the signatory matrix, preparing and distributing notices, setting up agendas and organizing board meetings, shareholders meetings, and other committee meetings Support the management of corporate policy framework for all entities including procedures for new or amended policies, with regular reviews and ensuring any changes are promptly incorporated into the relevant policies Lead and support entity formations across the globe, from the pre-incorporation stage up to the post-incorporation stage, coordinating with relevant departments to ensure operational goals are met in a timely manner Provide superior legal advice in taxation matters, and works with the Tax Group, from time to time, in addressing issues affecting the business on a corporate level From time to time, assists and supports corporate transactions in the conduct of due diligence, and submission of reports Provide commitment to the use of a single and centralized documents repository management (Diligent Entities) Manage outside counsel and ensures outside counsel is tracking to budget Deals with a diverse range of complex matters and highly conceptual issues with limited timeframes Other tasks/responsibilities that may be delegated from time to time. Do you have what it takes to become a Senior Corporate Counsel (Corporate, Securities, M&A, and Taxation Bar admission or equivalent and in good standing to practice law in your relevant jurisdiction 5+ years of experience as a practicing attorney specializing in corporate and governance matters, preferably with a major law-firm or in-house Familiarity with a startups, publicly traded companies, or BPO setting Experience with hyper-growth companies is a plus Excellent and professional command of the English language in a written and verbal capacity A certified Company Secretary (CS) in India who has completed a 3-year CS course is a plus! Operates with a high degree of accuracy with strong attention to detail Ability to manage conflicting priorities while respecting tight deadlines Proven ability to establish professional working relationships with colleagues, internal and external stakeholders A good team player who takes constructive criticisms and seeks process improvement A good sense of humor.
