Job Description





Legal Counsel: General Business includes advice/counsel across multiple areas of business law related to an organization\xe2\x80\x99s legal rights and obligations, including: Providing legal advice/counsel in business-related areas of expertise (e.g., corporate law, real estate, tax, business litigation, transactions/anti-trust, compliance, intellectual property, employment/labor, corporate governance, ethics, etc.). Researching, analyzing, and interpreting proposed and existing laws, statutes, and regulations. Identifying, evaluating, and addressing issues of legal risk. Structuring, drafting, negotiating and/or approving legal contracts, letters of agreement, policies and other documents related to a variety of trade, commercial, financial, and operational matters. May represent/advocate for an organization in litigation, arbitration, mediation or other disputes with courts, government agencies, or other legal authorities. In-house legal counsel may also be accountable for liaising with external legal counsel on complex legal issues A Senior Professional (P3) applies advanced knowledge of job area typically obtained through advanced education and work experience. Responsibilities may include: Managing projects / processes, working independently with limited supervision. Coaching and reviewing the work of lower level professionals. Problems faced are difficult and sometimes complex. Your Responsibilities

  • Support and advice to Operating Units and Hitachi Energy country organization in all legal matters (contract law, corporate law, and antitrust law), except for tax matters.
  • Hands-on experience in review of tender documents, providing comments relating to EPC major utilities construction/ engineering projects.
  • Developing close working relationships with Hitachi Energy India\xe2\x80\x99s internal customers including commercial business teams and supply chain functions
  • Drafting, reviewing, negotiating contracts including frame agreements, consortium agreements including relating to banking, real estate, Information Technology services as well as review of bank guarantees.
  • Reviewing tender documents, policies and other legal documents from vendors, customers and other third parties ensuring compliance with policies.
  • Supporting business units in managing contractual claims and Advise on the resolution of disputes or litigation through external advisors when necessary
  • Participating in and promote activities to ensure employees conduct business in compliance with the internal Hitachi Energy directives and applicble local laws.
  • Support Secretarial, Corporate Legal and Compliance function responsible to protect the reputation and compliance risk. Living core values of safety and integrity, which means taking responsibility for your own actions while caring for your colleagues and the business.
  • Manage all legal matters relating to factory location of Operating Unit relating to Grid Automation
  • Manage and liaise with, external service providers, including external legal counsel.
  • Monitor legal affairs, including but not limited to litigations and activity reports.
  • Drafting and review of Request for Quotations and input to Pre-Qualification Questionnaire, tender preparation, risks identification, risk review, negotiations of contracts, framework agreements, partnerships, settlements, etc. all in coordination with key internal stakeholders.
  • Ensure personnel training on legal and integrity topics such as but not limited to contract, integrity, antitrust including all training rolled out by the group; Promotes dispute avoidance, strategize, manages disputes and litigations both potential, and ongoing liaising, where necessary, with external law firms. Manage efficiently, external counsels and operate within allocated budget. Initiate actions for arbitration and litigation where necessary and provide documentation and witnesses; Optimize the costs of external legal costs by handling all legal advice/opinions needed by the businesses and negotiating external lawyers\xe2\x80\x99 fees in cases where outsourcing is needed;
Your Requirements:
  • Ideally 8+ years of experience as in-house legal counsel or in legal practice relating to major utilities construction/ engineering projects in Asia with a successful track record of handling complex international corporate and commercial transactions as well as significant claims and litigations.
  • Degree in Law from a leading university in India and qualified to practice law in India.
  • Experience in working on large, complex, project contracts like major utilities construction/ engineering projects.
  • Knowledge of engineering/construction industry contracting practices, applicable government and commercial regulations and practices, working knowledge of FIDIC.
  • Demonstrable negotiating skills and expertise in drafting contractual and settlement agreements. Strong leadership, Business-minded and solution oriented. Well-developed communication and interpersonal skills including team spirit as well as the ability to influence at all levels.
  • Strong team player, collaborative, solutions-oriented approach and ability to implement legal strategy pro-actively. Solution oriented business partner.
  • Professional level English and Practical mindset, self-motivated, proactive skills are must.
