Role Description Key Responsibilities 1. Board Governance Strategic: . Help CFO on board related matters / presentations / follow up actions Operational: . Drive process improvement in governance, reviewing and revising processes and structures to adapt to the needs of the Chair, Board / Committee members, Chief Executive Officer etc. . Build and maintain excellent relationships with key internal stakeholders to ensure internal engagement. . Provide key information to board members and committees. Liaising with board members and fulfilling their requests for information . Contribute to the effectiveness and efficiency of the Boards / Committee members . Develop and manage action plans to ensure its commitment 2. Corporate Finance Activities . Handle corporate finance activities like . Optimal capital structure of the holding, subsidiary, and portfolio companies . Event driven financing strategies and risk management . Equity valuation . Project management and ensure completion of above activities 3. Internal Restructuring and Transformation projects: Value appreciation through monetization/ unlocking of value in subsidiaries/business integration . Identify the opportunity of value maximisation through restructuring projects (Holding company / subsidiary structuring) . Tracking of overall performance of the organization including group-level financial performance in line with feedback from Board and Group Stakeholders . Preparation of corporate strategic plans for the each of the entities along with implementation support for all its subsidiaries of the group . Develop a financial restructuring plan along with financial projection for the future, including business valuation . Work with several teams (F&A, Tax, Legal, Business, Company Secretarial etc) within the Group and ensure completion of activities . Work with external consultants and ensure timely closure of tasks . Maintain communication with Regulators for completing restructuring projects 4. CFO support for project management . Drive Cost optimisation and other flagship projects sponsored by CFO . Develop the second line / bench strength for critical F&A activities . Identify the training needs of the F&A team and work on enhancing their skills Ideal Experience . 14+ years in Fintech or consumer internet domain start up\'s- Ability to effectively prioritise and execute tasks in a high-pressure environment . Must have the experience of managing conversation/matters related to the board . CA / CFA with MBA (top tier colleges)- Excellent interpersonal and relationship-building skills, ability to work independently and in a team- Self-motivated and proactive . Should have worked on Financial model builds and has a working knowledge of valuation techniques, e.g. DCF, Peer relative valuation analysis- Must have Strong numerical skills and understanding of basics of financial reporting . P&L, Balance Sheet, and Cash Flow statements- Thorough understanding of handling international subsidiaries & joint venture operations, M&A, fundraising, Global Accounting, international taxation, international laws & compliance, financial analysis, due diligence, and commercial acumen. . Proven track records in mergers and acquisitions- Outstanding written/oral communication and attention to detail .
