PRIMARY LOCATION: Mumbai JOB SUMMARY: In this role the incumbent would analyze and identify the legal risks and implications of all the business transactions across all our entities in India. Provide legal guidance on a wide range of legal matters such as contracts, regulatory compliance, and corporate governance, etc. Oversee the operation of the legal department. REPORTING: Head of Legal, APAC (functional) and Group CEO or CFO (subject to change). KEY RESPONSIBILITIES: Formulate and examine legal documents such as contracts, agreements, and policies. Ensure the documents are legally binding and protect the Organizations\' interests. Coordinate with outside Counsel in case any matters are referred to them. Manage Corporate Law, Secretarial, Corporate Governance & Compliance activities. Ensure compliance with applicable local laws, regulations like DPDP Act, and relevant extra-territorial legislation (e.g., the French anti-corruption and anti-bribery laws), as well as adherence to internal group policies and procedures. Undertake research activities to provide inputs on legal matters. Monitor and coordinate legal proceedings in which our companies in India are involved. Team-up with Havas Group\'s Global Legal team in intra-company matters with a larger organizational impact (e.g., policy roll-out, conducting trainings for other stakeholders etc.). Supervise and manage legal interventions across all agencies of Havas India. Assist our HR department with relevant HR related legal matters. Advise on corporate, legal, risk management and compliance matters. Independent charge of the Secretarial, Corporate legal and Compliance function, responsible to protect the reputation and compliance risk. Supervise and coordinate all our corporate secretaries across all Havas entities in India to ensure compliance with all the applicable provisions under the Companies Act, SEBI norms etc. Work closely with Havas Group India\'s management to understand specific businesses, maintain regular meetings with Havas APAC\'s Legal Head and other internal stakeholders (Global DPO, Global Compliance Officer). Ensure that the Company is on track with the responsibilities under Company Laws. Ensure that the returns are filed within timelines and registers are maintained. Ensure that the agreements are vetted thoroughly in the interest of the Company and response are given within agreed period. Coordinate with lawyers and counsels for notices, replies, petitions, etc. Potentially, act as Data Protection Officer/supervisor for our India companies. Supervise M&A projects in collaboration with external lawyers and the regional M&A team. Qualifications & Outlook Law Degree from a recognized university in India. 10 plus years\' experience post qualification in medium or large private practice (law firm) or MNC (in-house), preferably both, the latter is a definite requisite. Business mindset to be a business partner with problem-solving skills. Highest ethical standards, promote ethical behavior and high professional integrity. Ability to identify and mitigate legal risks. Ability to thrive in a fast-paced environment and to handle multiple assignments simultaneously. Adept at working with cross functional teams and multiple business units. Strong communication skills and ability to explain complex legal concepts to a range of audiences.
