Job Summary We are seeking an experienced and highly motivated Company Secretary to join our team. The successful candidate will be responsible for ensuring overall Corporate Secretarial compliance of the group Company in India hub, overseeing internal policies and regulations, convening meetings, maintaining minutes etc. The ideal candidate should be willing to take up additional responsibilities as the role evolves (within the Group companies). Key Responsibilities Ensure compliance with all legal and regulatory requirements, including the Companies Act, 2013, and other applicable laws and regulations Ensure compliance with all applicable RBI guidelines and FEMA regulations Convene and coordinate board meetings, committee meetings, and general meetings Draft notices, agenda, explanatory statements, representation letters in connection with Board meeting and General Meeting Maintenance and timely updating of Statutory Registers and all statutory records maintained under Companies Act, 2013. Draft meeting minutes and preparation and e-fling of forms as per the requirement of Companies Act i.e. Annual Filing and other event-based Forms with Ministry of Company Affairs, FCGPR forms with RBI, etc. Maintain and update corporate records and filings as required Act as a key point of contact between the company and external regulators, ensuring effective communication and timely responses to queries Work closely with the finance and legal teams to ensure compliance with financial and legal regulations Provide legal and administrative support to the board and executive management as required Keep up to date with changes in regulations and laws and advise the company accordingly Review and drafting of commercial contracts e.g. supplier contracts, sale and purchase contracts etc. Qualifications and Requirements Qualified Company Secretary holding a membership with the Institute of Company Secretaries of India (ICSI) along with LLB degree Minimum 5 years of experience in a similar role preferably in a multinational company. Familiarity with relevant laws and regulations Excellent communication, negotiation and interpersonal skills Demonstrated experience in working with senior stakeholders and leadership Excellent analytical and problem-solving skills Ability to work independently and manage multiple tasks and deadlines.
