The Legal Department has several key operations to meet our obligations to various regulatory oversight and investigative bodies as necessary. This includes obligations to regulatory bodies of legal entities, both domestic and international that regulate our business as well as to civil and criminal investigation authorities or adversarial counsel. Legal is organized by Practice Groups that conform to the organization of the Firm\'s line of business and corporate staff areas. Each Practice Group has a General Counsel who is the Practice Group Head and who reports to the Firm\'s General Counsel. This structure provides the means for the Legal teams to communicate legal and regulatory changes to the business and staff areas and for the lines of business and staff areas to communicate business developments that have legal or regulatory implications to the Legal teams in a timely manner.

The Corporate Legal Managed Services ("CLMS") partners with senior management, control groups, lines of business and corporate units to promote effective governance of the Firm, its branches, subsidiaries and affiliates. It operates through a corporate team and three regional hubs, in North America, EMEA and APAC. CLMS also works closely with the Firm\'s Corporate Secretaries / Corporate Governance Contacts (CGC), Board of Directors and is responsible for the coordination of Board meetings and materials. We are looking for a Legal Entity Management - Associate Corporate Secretarial Officer, Team Lead to be based in Mumbai and to support the Legal Entity Management Desk (LEMD).

The Legal Entity Management Desk - Associate Corporate Secretarial Officer, Team Lead will be responsible for leading a team with a strong focus on becoming a trusted partner to the direct/global manager and CGCs globally. He / She will also be responsible for delivery of one or more corporate governance functions with a focus on a specific LOB/Function or geography.

Duties include but are not limited to:

  • Work in conjunction with the direct/global manager and other regional team leads gaining managerial experience in the following areas:
    • Engaging team members in local initiatives, providing on-site team oversight and support
    • Partner with Manager on coaching employees to achieve priorities or deliver development messages. Provide feedback to direct manager on local execution
    • Interview candidates in partnership with Manager and HR; actively participate in the onboarding process
    • Drive positive employee experience and satisfaction; include team members in Engagement initiatives and facilitates networking locally
    • Escalate issues (including conduct, motivational, performance or regulatory in nature)
    • Conduct regular check-ins with team members
    • Provide feedback to the local team members and work with Manager in year-end reviews.
  • Support the Corporate Secretaries / Corporate Governance Contact with Board / Committee / Shareholder meetings and compliance with internal governance policies. Such responsibilities include:
    • Creating and maintaining a controlled environment to mitigate risk
    • Providing logistical support to convene Board / Committee / Shareholder meetings across APAC regions
    • Attend Meetings to provide live support. Complete pre and post meeting activities
    • Keep internal databases updated and draft corporate documentation
  • Work closely with partner teams (such as the Global Filing team, Controls team or Third-Party Vendors) to ensure a Legal Entity\'s overall compliance.
  • Provide project-specific support and conduct research as requested by the Corporate Secretaries/ Corporate Governance Contact.

Job Requirements
  • Qualified Company Secretary and 4+ years of relevant professional experience in a corporate governance position or law firm. - required
  • Excellent written and verbal communication skills
  • Advanced computer skills (i.e., MS Office Suite) and presentation skills
  • Experience with Corporate Governance databases and applications (e.g., GEMS) is beneficial but not essential
  • Strong analytical, research, organizational and relationship building/communication skills
  • Strong detail orientation
  • Law degree/Legal background an added advantage
