Role Overview: We are in search of a Corporate Lawyer with 1-3 years of experience to join our legal team. The ideal candidate will handle a variety of corporate legal matters specific to the software industry, ensuring compliance, contract management, and strategic legal support. Key Responsibilities: 1. Contract Management: Draft, review, and negotiate software licensing agreements, service contracts, and partnership agreements. 2. Corporate Governance: Assist with board meetings, prepare corporate resolutions, and maintain company records in line with industry standards. 3. Regulatory Compliance: Ensure adherence to software industry-specific regulations, data protection laws, and intellectual property rights. 4. Mergers & Acquisitions: Support due diligence efforts for potential acquisitions, draft transactional documents, and provide legal guidance on deal structures. 5. Intellectual Property: Collaborate with the IP team on software patents, trademarks, copyrights, and licensing agreements. 6. Risk Assessment: Identify legal risks associated with software development, distribution, and licensing; provide strategic advice to mitigate risks. 7. Dispute Resolution: Assist in managing software-related disputes, including litigation matters and vendor disagreements. 8. International Compliance: Navigate and ensure compliance with international laws, regulations, and industry-specific standards across various jurisdictions where the company operates. Qualifications: \xc2\xb7 1-3 years of corporate law experience, preferably within the software or technology sector. \xc2\xb7 Familiarity with software licensing models, SaaS agreements, and related contractual frameworks. \xc2\xb7 Strong communication skills, with the ability to interpret and articulate complex legal concepts tailored to a software context. \xc2\xb7 Proactive mindset with the ability to navigate a rapidly evolving software landscape.
