Ensure compliance with the Companies Act, 2013 and other statutory requirements.
Maintain statutory registers, records, and filings (ROC, MCA, etc.).
Organize and manage Board Meetings, Annual General Meetings (AGMs), and prepare agendas, notices, and minutes.
Liaise with auditors, regulators, and stakeholders for statutory compliances.
2. Legal & Governance (with LLB expertise):
Draft, review, and vet legal agreements, contracts, MOUs, and other documents.
Provide legal advice on company policies, employment laws, property/lease agreements, and vendor contracts.
Represent the company in legal matters and coordinate with external legal counsel when necessary.
Handle dispute resolution, litigation, and arbitration matters.
3. Corporate Strategy & Advisory:
Advise the Board on good governance practices, compliance, and legal risk management.
Support fundraising, M&A, and restructuring activities with legal and secretarial compliance.
Safeguard intellectual property, licenses, and registrations.
4. Additional Duties:
Ensure compliance with PF, ESIC, labor laws, and other statutory employee-related regulations (if applicable to the industry).
Maintain strong liaison with government bodies, regulators, and external stakeholders.
Skills & Qualifications:
Qualified
Company Secretary (CS)
from ICSI.
LLB degree
from a recognized university.
Strong knowledge of Companies Act, SEBI Regulations, FEMA, Labor Laws, and other applicable statutes.
Excellent drafting, communication, and negotiation skills.
Ability to handle confidential information with integrity.
Minimum
2-4 years
of relevant experience.
