Job Description


A qualified lawyer and company secretary who will build, lead and manage the Legal team and Corporate Secretarial (Cosec) team in Gurgaon. This role will partner closely with the Legal team and Cosec team at Client Asia to support Client Asia\'s growing operations as well as service delivery to the Client\'s real estate business in APAC.

Eligibility Criteria:

- At least 14+ years of hands on experience in legal field

- 10+ years of experience in handling global entities and its subsidiaries

- Graduate / Post Graduate degree in Law from a reputable institution (Second Upper Class honours and above)

- Corporate secretarial experience

- Team management experience

- Strong written and verbal communication skills in English

- Knowledge of MS Office and ability to work with legal technology solutions

Roles & Responsibilities:

General :

- Support the General Counsel in hiring, training and managing the Legal team and Cosec team in Gurgaon

- Manage and liaise with relevant internal and external stakeholders

- Periodical reporting and governance

- Oversee the transition and quality service delivery of the following scope from Client Asia to the Gurgaon team, including the drafting and updating of standard operating procedures (SOP)

Legal :

- AML & KYC: Attend to KYC requests, including preparation of KYC letters and structure charts, and keeping track of status to ensure that all KYC requests are completed in a timely manner

- Contract Reviews: Review and negotiate engagement letters, service agreements, NDAs etc., including running of redlines as requested by the Client Asia Legal team

- Corporate Secretarial Document Reviews: Review standard corporate secretarial and funding documents

- Legal Advisory: Work closely with Client Asia business teams to provide legal advice on issues (e.g. tax, finance/accounting, corporate and commercial) together with a resolution plan

- Compliance: Attend to India REIT information requests and coordinate responses from relevant stakeholders to provide timely declarations to REIT managers

- Monitor Client transactions involving material non-public information (MNPI), administer compliance controls for Client Asia, including maintaining tracker for MNPI insiders and segregating access rights to MNPI

- Conduct third party vendor due diligence screening using DDIQ software and summarize findings

- Arrange compliance declarations for Client Asia employees and responses

- Legal Operations: Assist the Legal team in creating Project Online time entries and legal billing, including mapping of Project Online time entries to deal names to facilitate billing process

- Track, monitor and safekeep commercial contracts and template legal documents

- Maintain tracker and/or provide regular input on the key matrixes tracked by Client

- As needed, support Client Asia on special projects and other legal operations matters

Corporate secretarial :

- Cosec: Oversee and support the compliance of Cosec functions, focusing initially on Singapore based companies, including but not limited to:

- Incorporation/setting up/onboarding of new entities

- Prepare board meeting minutes and resolutions to effect a full spectrum of corporate actions, including change in corporate particulars, capitalizations, distributions, opening of new bank accounts/change in signatories and approving transactions

- Update the corporate registers to reflect corporate changes, etc.

- Liquidation and strike-off requests

- Document execution using DocuSign

- Over time support the scope expansion beyond Singapore based companies and transition of new Cosec functions to Gurgaon

- Data Governance: Oversee the Cosec team in driving the data clean-up exercises involving Client Asia\'s legal entity management system (Diligent software) as well as ongoing timely and accurate updates on Diligent

- Audit & KYC: Attend to audit and KYC requests by providing corporate documents and confirmations

Special attributes:

- Corporate Secretarial certification from ICSI will be advantageous

- Exposure to private equity industry with familiarity on complex investment structures

- Ability to work independently in a highly confidential and results-oriented environment

- Strong organizational and people skills with high levels of attention to detail and accuracy

- Strong interpersonal skills with ability to engage confidently and effectively with stakeholders across seniority, expertise and cultures

- Strong analytical skills, commercial acumen and ethical mindset

- Motivated and driven to take responsibility for new projects and see them through to completion

- Expertise in using available resources to identify the needs and resolve issues relevant to the position, and know when to escalate matters
