We are hiring a Senior Legal Executive / Legal Manager - Investments & Compliance to manage the complete legal and regulatory process for startup investments.
The role involves drafting, negotiation, due diligence, and compliance management across multiple startup funding transactions.
Key Responsibilities:
Manage and oversee the full legal process for startup investment deals from term sheet to closure.
Draft, review, and negotiate investment documents - Term Sheets, SSAs, SHAs, Convertible Notes, CCD Agreements, and side letters.
Conduct and supervise legal due diligence of investee companies; identify and report key legal and compliance risks.
Ensure regulatory compliance under Companies Act, FEMA, SEBI, and RBI guidelines.
Handle post-investment filings such as PAS-3, MGT-14, FC-GPR, and coordinate with company secretaries.
Manage dematerialisation of shares, coordinate with RTAs, NSDL/CDSL, and maintain updated demat and shareholding records.
Maintain investment registers, compliance trackers, and legal documentation repositories.
Prepare and update standard legal templates - NDAs, advisory agreements, and service contracts.
Advise management on legal risks, governance, and process improvements.
Desired Candidate Profile:
LLB degree (mandatory)
5+ years of experience in legal roles related to venture capital, private equity, startup investments, or corporate legal.
In-depth knowledge of Companies Act, FEMA, SEBI, RBI and other relevant corporate laws.
Proven experience in drafting and negotiating investment documentation.
Strong attention to detail, analytical mindset, and excellent communication skills.
Ability to work independently in a fast-paced startup / investment environment.
