to oversee and manage the corporate legal affairs of the company. The ideal candidate will play a key role in ensuring legal compliance, managing risk, negotiating contracts, and supporting strategic initiatives across business units.
Key Responsibilities:
Corporate & Commercial Law
Draft, review, and negotiate complex commercial agreements including joint ventures, partnerships, vendor/supplier contracts, NDAs, MoUs, licensing agreements, etc.
Advise management on corporate governance matters, company secretarial functions, and board compliance.
Manage corporate structuring, mergers & acquisitions, investments, and due diligence activities.
Regulatory Compliance
Ensure compliance with applicable laws, rules, and regulations (e.g., Companies Act, SEBI, FEMA, labor laws, etc.).
Liaise with external regulatory bodies and ensure timely filings and disclosures.
Support internal audits and implement effective compliance controls.
Dispute Resolution & Litigation
Handle pre-litigation strategy, arbitration, and coordinate with external counsel on ongoing legal proceedings.
Provide legal risk assessments and suggest resolution strategies for commercial disputes.
Legal Risk Management
Identify potential legal risks and propose mitigation strategies.
Establish and implement legal policies, procedures, and standards for the company.
Stakeholder Management
Provide strategic legal advice to senior leadership and business teams.
Collaborate cross-functionally with Finance, HR, Operations, and Compliance teams.
Qualifications:
Education
: LL.B / LL.M from a reputed law school or university.
Experience
: 3-15 years of relevant experience in a corporate legal role (preferably with a mix of law firm and in-house experience).
Strong understanding of corporate, commercial, contract, and regulatory law.
Experience in handling complex transactions, litigation, and compliance programs.
