Responsibilities:
Senior Director - Legal & Compliance
The successful candidate will serve as primary legal adviser for PGS India and Philippines and will play an important role within the PGS Management team.
In that capacity, the successful candidate will be responsible for the following tasks:

  • Liaise collaboratively with members of the Global Law Department to provide sound, practical and objective legal and compliance advice to the PGS Management team while working within the enterprise framework.
  • This role will support the legal, regulatory, and compliance requirements of the PGS entity to ensure appropriate compliance with relevant laws and regulations in both India and the Philippines. In conjunction with other members of the global Legal Department, manage legal matters before any court, tribunal or government authority in India and the Philippines.
  • Provide legal advice and guidance regarding compliance with existing and new statutory requirements applicable to the PGS entities in India and the Philippines (including Company law, telecommunications/technology law, data privacy law, labor law and employment law) to ensure the PGS entity is operating in compliance with its local requirements.
  • Maintain, review, test and modify written compliance policies and procedures designed to achieve compliance with applicable laws and regulations.
  • Liaise with external counsel and industry bodies to determine the potential impact of regulatory developments to PGS businesses and locations
  • Ensure Compliance with applicable Corporate Polices i.e. Conflicts of Interest, Gifts & Entertainment and Anti-Boycotting, for example.
  • Advise, strategize, inform, and issue recommendations to Senior Management, as an independent legal advisor, on compliance and legal risks. Provide written reports periodically and upon request.
  • Develop and maintain, effective external counsel relationships in accordance with Company Outside Counsel Guidelines.
  • Drafting, reviewing, analyzing and negotiating a variety of legal agreements including labor supply agreements, employment contracts, procurement contracts with 3rd party vendors and suppliers, lease agreements, confidentiality agreements, and other project related
  • Maintain all relevant inter-company service
The successful candidate will also be required to oversee the PGS corporate governance program, including:
  • Maintenance of statutory registers and records of the
  • Prepare and file all required forms, returns and applications by and on behalf of the
  • Prepare notices, agendas and ensure minutes are recorded for Board meetings and annual general meetings and ensure that all such meetings are conducted with compliance to applicable law and company requirements.
  • Provide legal and governance guidance to requisite PGS units for implementation of resolutions passed by Board of Directors.
Qualifications:
  • Qualified legal professional with at least 15-20 years legal experience in a global organization, with experience as the organizations chief legal adviser for its India operations.
  • Extensive corporate governance experience, including primary responsibility for overseeing the corporate governance framework of one or more Indian legal entities.
  • Experience overseeing and mentoring a small team of dedicated legal and compliance professionals.
  • Experience working in the ITES sector for a global financial service or a similar organization and an awareness of global financial services regulatory matters is preferred.
  • Possess a comprehensive knowledge of, and extensive experience in advising on, laws applicable to the ITES sector, including SEZ / STPI compliance, corporate law, telecommunication / technology laws (including OSP compliance).
  • Excellent oral and written communication skills and the ability to communicate legal issues and solutions in an articulate, precise and effective manner while effectively and constructively challenging business leadership when needed.
  • Strong legal drafting skills, with extensive hands-on experience in contract drafting and
  • Strong organizational and inter-personal skills and a demonstrated ability to work autonomously while maintaining a strong exchange of information with legal and compliance leadership in the United States.
  • Excellent research and analytical skills and the ability to exercise judgment and discretion on Indian legal issues.
  • A demonstrated ability to work in a global matrix environment and identify issues that require escalation within the legal department.
  • Experience reporting directly to international partners and maintaining independence from local stakeholders.
