Senior Chief Manager - Legal & Secretarial

Goal 1: Investments- AIF, Real Estate and PMS (40%):

- Drafting, vetting and reviewing term sheets, debenture trust deed, escrow agreements and other security documents required to be executed for the transactions entered by the Alternative assets team (including AIF, Real Estate and PMS) and advising on the best possible structures on the transactions

- Structuring and advising on the investments by the Alternate Assets teams (including investments through the AIF and PMS route).

- Assisting in the funds launched by Alternate Assets team including drafting of PPM, Contribution agreements, trust deed, IMA, etc.

- Advising on the legal remedies available for exits from the Projects/Investments of the Alternate assets investments and liasioning with external law firms to derive the best strategy for exiting from the investments made by the investment teams.

- Reviewing the title documents and title reports for the projects and advising the steps to be taken to mitigate the hindrances in the title and drafting indemnity deeds and incorporating the same in the transaction documents.

- Ensuring a timely and diligent completion of all the transactions

- Updating the team on all the amendments and judgements in law affecting the sector, from time to time.

- Advising on the steps to be taken in accordance with law for the completion of the transactions and the conditions to be imposed on the investee companies to protect the interests of the fund.

Goal 2: Operational Compliance- Real Estate (20%):

- Compliance with applicable SEBI Regulations for the AIF\'s under the real estate platform

- Assisting in the PPM audit and other internal audits of the real estate funds

- Periodic and timely filing of reports with SEBI, trustee of the fund and internal AMC reporting requirements in accordance with the SEBI (VCF) and SEBI (AIF) Regulations

- Arrange and co-ordinate with members for investment committee meetings and conducting investment meetings for Alternate Assets.

- Preparing agenda, supporting documents, drafting minutes of the investment committee meetings

- Drafting and circulating circular resolutions to the investment committee as and when required

- Seeking approvals from trustee for investment, divestment, distribution, drawdown and re-instating suspended units of defaulting investors

- Designing the process and policies required for the domestic and offshore funds

- Drafting and replying to all the SEBI notices and assisting in the preparation of all documents required by SEBI for their inspection of the fund and replying to all the queries raised by SEBI.

Goal 3: Support to Investor Relations/Business Development/Alternate Assets Product Team/Fund Raise- AIF, Real Estate and PMS: (20%):

- Finalising the best possible structures for the onshore and offshore funds launched by the Alternate Assets team (including AIF, Real Estate and PMS)

- Assisting the product head and investment teams of the Alternate Assets teams with all such legal and regulatory support

- Incorporating domestic funds under AIF, PMS, Real Estate or such other routes available

- Drafting, vetting and reviewing the offshore and domestic fund incorporation documents

- Providing support to investor relations team with respect to drafting replies to investor complaints and resolving all queries raised by the investors

- Assisting in the transfer/transmission process, drafting drawdown notices and suspension letters

- Drafting responses to regulatory authorities to resolve the investor complaints

- Drafting the communications to be sent to the investors

- Update from time to time regarding legal protections available under fund incorporation documents.

- Examining and advising on the methods to be adopted for fund raise in accordance with the SEBI regulations and suggesting the structures for incorporating a new AIF in an optimum manner.

- Drafting, reviewing and vetting the agreements to be entered with the investors for the fund raise.

Goal 4: Investment Monitoring and Litigation- AIF, Real Estate and PMS (20%):

- Ensure compliance with all conditions (CP\'s/CS\'s, etc) to effectuate the transactions

- Structuring/Advising on the exit from the existing investments by the alternate assets (AIF, PMS and Real Estate)

- Ensuring the compliance of the investee companies with the applicable laws

- Advising the investee companies with respect to all legal matters

- Maintaining the records of all the investee companies

- To facilitate initiation or defending necessary civil or criminal legal proceedings by or against the real estate fund in various jurisdictions across India.

- To design litigation strategy from time to time and apprise the top management about the same

- Drafting replies, written statements, complaints and other legal documents before regulatory authorities to safeguard the investments by the Alternate Assets.

- Update on all litigation proceedings by or against the fund

- Defending suits filed against the fund by investors in various forums i.e. consumer forums, arbitration proceedings, civil courts, etc.

- Prepare the list of litigation cases and updating the same from time to time

- Updating the board of the AMC regarding the litigations and risks imposed by such litigations and on the steps being taken to redress all litigations
