Legal Counsel
The Legal Counsel job protects the organization's rights, obligations and privileges and its legal interests by providing expert legal advice in large projects and by ensuring the legal activities meet the current and future needs of the organization. As a subject matter legal expert and with limited oversight from manager, this job manages providing expert legal advice and counsel in business-related areas of expertise, such as corporate law, real estate, tax, business litigation, transactions/anti-trust, compliance, intellectual property, employment/labor, corporate governance, and ethics.

Key Responsibilities and Duties
  • Advises management on hands-on legal advice, provides expert guidance and counsel and supports the operations of legal department.

  • Assesses and evaluates the protecting of the organization's rights in contract negotiations, settlements, and litigation and recommends areas of improvement.

  • Contributes to structuring and drafting of legal contracts, letters of agreement, policies and other documents related to a variety of trade, commercial, financial, and operational matters.

  • Identifies, evaluates, and addresses issues of legal risk.

  • Researches, analyzes, and interprets proposed and existing laws, statutes, and regulations.

  • Informs management of recent changes in laws and regulations that affect the company.

  • Partners with external legal counsel on legal issues related to protecting the company and gaining external advice on matters that may impact the company.

Key Duties & Responsibilities: List up to 5 key duties and responsibilities, management responsibilities and time spent (if applicable)

Providing global legal support for both corporate and transaction legal support Collaborating with US attorneys for review of US Trust Power of Attorney (PoA) document to determine: compliance with state law & what the PoA allows/enables the client to do or not do.
(does not involve drafting, redlining or direct discussion with clients).
Research (50 state surveys) on various PoA related laws. Carrying out research activities on insurance product distribution issues. Support the SEC filing process. Organizing and maintaining attorney work product, review and help with negotiating various agreements, including recordkeeping services agreements, acquisition agreements and other contracts, update internal databases with key contract terms Support legal team to develop and maintain an optimized and efficient legal function that meets the current and future business needs; Participate in projects and activities to support the growth of the company; Create a positive image of TIAA through communication and interaction with the key global stakeholders

Business or Industry Expertise: Describe the degree of knowledge and understanding required of TIAA?s business and industry, commercial environment and of competitors products and services.
Understanding and knowledge of insurance industry/ annuity products. Experience on working on US laws such as ERISA/ state and federal tax laws will be an added advantage. Basic knowledge of securities regulations and rules. Requires analytical skills including ability to analyse financial data
Interactions / Interpersonal Skills: Describe the nature and level of interactions this job has with others, both internally and externally. Explain any specific interpersonal skills necessary to successfully perform this role (i.e., negotiation skills, represents business at external events or to governmental bodies, etc. ).
Partner and collaborate with various US teams on contracts, documents, research, filing etc. Proactively partnering with legal colleagues globally and business units to ensure compliance with the applicable laws and regulations.
