, this role provides exposure to ROC filings, board meeting documentation, incorporation, compliance audits, and other secretarial functions.
Key Responsibilities:
Drafting and maintaining statutory registers, board resolutions, notices, and meeting minutes.
Preparing and filing forms with the Ministry of Corporate Affairs (MCA) - e.g., AOC-4, MGT-7, DIR-12, PAS-3.
Assisting in incorporation of Companies, LLPs, Section 8 Companies, and other entities.
Supporting compliances related to Companies Act, 2013, LLP Act, FEMA, and SEBI regulations.
Conducting secretarial audits under Section 204 of the Companies Act.
Helping with share transfer, issuance of shares, allotment, and related ROC compliances.
Assisting in drafting agreements, MOUs, NDAs, and other legal documentation.
Coordinating with clients, regulatory bodies, and internal teams.
Staying updated with amendments in corporate laws and regulations.
Eligibility Criteria:
CS Executive passed (both modules); CS Professional pursuing.
Completed or currently undergoing CS training (preferred but not mandatory).
Familiarity with MCA21 portal and ROC forms.
Good drafting skills and knowledge of corporate laws.
Proficient in MS Office (Word, Excel, PowerPoint).
Ability to manage timelines and work independently with guidance.
Preferred Skills:
Exposure to ROC filings and MCA compliance processes.
Good communication and interpersonal skills.
Strong attention to detail and documentation.
