We're looking for a Semi-Qualified Company Secretary to assist in company incorporation, secretarial compliance, legal filings, and regulatory matters. The role requires a strong grasp of the Companies Act, FEMA, and hands-on experience with MCA and RBI filings.
Key Responsibilities:
Company/LLP Incorporation
: Prepare and file documents for incorporation, including DIN, MOA/AOA, and name approval.
Secretarial Compliance:
Draft resolutions, board minutes, and ROC forms like MGT-7, AOC-4, DIR-3 KYC. Maintain statutory registers.
Fundraising Support:
Assist in private placements, filings (PAS-3, SH-7), due diligence, and cap table updates.
RBI/FEMA Filings:
Handle FCGPR, FCTRS on FIRMS portal and ensure compliance for FDI/ODI.
Regulatory Liaison:
Communicate with MCA, ROC, RBI, and other authorities.
Legal Support:
Draft/review NDAs, MOUs, and basic legal documents. Track legal and regulatory updates.
Skills Needed:
Sound knowledge of Companies Act, LLP Act, FEMA
Proficiency in MCA & RBI portals
Strong drafting & communication skills
MS Word & Excel
Ability to multitask and meet deadlines
Eligibility:
CS Executive (both Modules) completed
CS Professional (pursuing preferred)
LLB or commerce background is a plus
