We are a leading Non-Banking Financial Company (NBFC) based in New Delhi, offering a wide range of financial services. We are seeking a motivated and semi-qualified Company Secretary to join our team and support our corporate governance and compliance functions.
Key Responsibilities
:
Corporate Governance
:
Assist in the preparation, maintenance, and filing of statutory records, including minutes of meetings, resolutions, and other corporate documents.
Support the company in ensuring compliance with the provisions of the Companies Act, 2013, SEBI regulations, and other applicable laws.
Help in the implementation of corporate governance policies and procedures.
Regulatory Compliance
:
Ensure timely filing of returns, forms, and reports with regulatory authorities (ROC, RBI, SEBI, etc.).
Coordinate with auditors and other external parties for regulatory filings.
Monitor and advise on changes in relevant legislation and regulations.
Secretarial Support
:
Draft notices, agendas, and resolutions for board and committee meetings.
Coordinate logistics for board meetings, including preparing board packs and managing documentation.
Maintain and update the statutory registers and records of the company.
Risk Management & Legal Support
:
Assist in compliance audits and internal control checks.
Coordinate with legal teams for contract management, and help with any legal and regulatory issues the company faces.
Investor Relations
:
Assist in managing investor queries and maintaining proper records of shareholder communications.
Assist in corporate disclosures and investor-related filings.
Miscellaneous Tasks
:
Liaise with internal teams and external professionals to ensure all legal and regulatory requirements are met.
Provide assistance in other administrative and corporate matters as required.
Requirements
:
Semi-qualified Company Secretary (CS), preferably with experience in an NBFC or financial sector.
Strong knowledge of the Companies Act, 2013, SEBI regulations, RBI guidelines, and other relevant laws.
Good understanding of corporate governance and secretarial practices.
Excellent communication and interpersonal skills.
Detail-oriented with strong organizational skills.
Ability to work independently as well as in a team.
Proficiency in MS Office (Excel, Word, PowerPoint).
Knowledge of Tally or any other financial software is an added advantage.
Preferred Qualifications
:
Graduate in any stream (preferably Commerce).
Additional qualifications in law or finance are a plus.
Experience
:
1-3 years of relevant experience in a similar role, preferably in an NBFC or financial services organization.
