Octagona India (www.octagona.co) is inviting applications for the role of a

Secretarial

&

LegalAssociate with an experience in rendering services to foreign companies that have subsidiaries in India.

Minimum Qualification

: Member of Institute of Company Secretaries of India (ICSI) and preferably a Bachelor's in Law (LLB).

Experience:

2 - 4 years post qualification (as a company secretary or lawyer in a management consultancy company or a company secretary/legal firm)

Technical Skills Required: Secretarial Competencies:

?Sound knowledge of Companies Act, FEMA and RBI compliance. ?Filing ROC forms and returns, maintaining statutory books, registers, records under Companies Act, ?Preparation of minutes of the Meeting of the Board of Directors, General Meetings and Committee Meetings and managing various secretarial functions viz. incorporation of companies, ?ROC and FEMA compliances, liaising with RBI, MCA and drafting representations to be filed with external agencies. ?Working knowledge of External Commercial Borrowings (ECB) and return filing ?Knowledge of Liquidation and Fast Track Exit (FTE) procedures ?Knowledge of XBRL software (MUST)

Legal Competencies:

?Conducting legal analysis and researching on legal and due diligence subjects. ?Drafting, editing, vetting and finalising legal contracts (MUST) ?Reviewing legal material. ?Monitoring the implementation of the legal clauses. The incumbent is expected to work

for multiple clients which are usually foreign subsidiaries with registered offices in various cities in India.

Software knowledge:

1. Working experience in MS office (good knowledge of Excel, Word, PowerPoint). 2. XBRL software will be preferred

Soft Skills Required:

1. Independent & motivated professional 2. Disciplined approach and high professional standards 3. Demonstrated ability to work in a team environment

4. Demonstrated ability to multitask and work under deadlines 5. Excellent communication skills (written + oral)

6. Comfortable in usage of emails and virtual calling platforms 7. Open mindset with flexibility in approach
