Maintain statutory books and registers. Ensure the company complies with legal and regulatory requirements. Organize and prepare agendas and papers for board meetings and annual general meetings (AGMs). Take minutes, draft resolutions, and lodge required forms and annual returns with regulatory authorities. Advise the board of directors on their roles and responsibilities. Monitor changes in relevant legislation and regulatory environments. Communicate with regulatory bodies, lawyers, auditors, and shareholders. Manage policies related to corporate governance and compliance frameworks. Oversee the reporting of company performance to stakeholders.
Bachelor's degree in Law, Business Administration, or related field. Professional qualification such as ICSA (Institute of Chartered Secretaries and Administrators) is preferred. Proven experience as a Company Secretary or similar legal role. In-depth knowledge of corporate laws and regulations. Familiarity with corporate governance best practices.
Excellent communication and interpersonal skills. Strong organizational and multitasking abilities. Attention to detail and accuracy. Proficient with regulatory filing procedures. Analytical and problem-solving skills. Proficiency in Microsoft Office Suite and compliance management software.
