Ensure compliance with Companies Act, FEMA, SEBI, and other applicable laws.
Maintain statutory registers, records, and filings with the ROC/MCA.
Organize and draft minutes for Board Meetings, AGMs, and EGMs.
Ensure timely filing of annual returns, financial statements, and other company law-related forms.
Advise the board on corporate governance best practices.
Legal & Regulatory:
Liaise with regulatory bodies (ROC, MCA, SEBI, etc.).
Handle legal documentation, contracts, and lease agreements.
Assist in due diligence and audits.
Monitor changes in relevant legislation and the regulatory environment.
Board & Shareholder Relations:
Coordinate board meetings, issue notices, prepare agendas, and record minutes.
Manage communication with shareholders and handle share transfers, dividend distribution, etc.
Manage licenses and approvals related to hotel operations.
Support legal aspects of land acquisition, construction, and franchising.
Required Skills & Qualifications:
Member of ICSI (mandatory).
Sound knowledge of corporate laws, labor laws, and governance principles.
Strong organizational, communication, and interpersonal skills.
Attention to detail and ability to manage confidential information.
