Job Description

Company Secretarial support for UK subsidiary entities, including Limited Companies, Limited Liability Partnerships, and fund governance structures; supporting management committees, as required.
The role will primarily support the Group's subsidiaries, providing high quality, efficient minute taking support to UK regulated and unregulated entities, including Limited Companies, Limited Liability Partnerships, and fund governance structures. The role also includes supporting management committees, as required.
Primarily this support requires the candidate to:

• attend and minute Board meetings for subsidiary Boards, Committees and LLPs, and shareholder meetings and other management committees, as required

• draft accurate, high quality minutes within agreed SLAs

• prepare agendas, and independently assemble and distribute Board, Committee and Shareholder packs using electronic Board Portal

• prepare action lists and co-ordinate the timely follow up of actions, including execution of documents according to local requirements

• support working with Legal, ensuring compliance with statutory and regulatory requirements, and with good corporate governance practices, including, but not limited to, arranging relevant statutory filings

• work with colleagues to respond to KYC and RFP requests.

Additionally, the role will support the organisation's general legal and regulatory compliance functions as required, for example:

• Maintain various corporate governance charts, guides, policies and terms of reference

• Provide general assistance on group wide projects as and when required.
