We are seeking a highly skilled finance leader with deep exposure to M&A, investment banking, and infrastructure finance. The incumbent will drive fund-raising activities, financial structuring, debt syndication, acquisitions, and transaction execution for infrastructure assets, especially within the InvIT and BOT-HAM/Toll domain. The role demands strong deal-orientation and the ability to work across stakeholders, including lenders, investors, and transaction advisors.
Key Responsibilities
Fund-Raising & Capital Structuring
Lead fund-raising through loans, NCDs, strategic investments, and capital market instruments for InvIT and group entities.
Manage end-to-end pre- and post-sanction activities including proposal preparation, sanction documentation, bank coordination, and compliance with lender requirements.
Work closely with Credit Rating Agencies to maintain and enhance ratings through proactive financial data management and business insights.
M&A and Investment Banking Activities
Identify, assess, and evaluate inorganic growth opportunities in the infrastructure sector, including BOT and HAM assets.
Drive M&A transactions: asset evaluation, business case development, transaction structuring, commercial negotiations, and execution.
Manage due diligence processes across financial, technical, legal, and operational workstreams.
Build and review transaction financial models including valuation analysis (DCF/EPC multiples/market comps) to support acquisition decisions.
Liaise with investment bankers, transaction advisors, legal counsels, and consultants to ensure timely closure of deals.
Financial Modeling, Analysis & Reporting
Develop and maintain detailed financial models for infrastructure projects including cash flow forecasts, scenario analysis, and project viability assessments.
Conduct regular valuation analysis and support internal decision-making for portfolio optimization.
