: JOB DESCRIPTION I. JOB DETAILS Job Title Senior Manager / Manager - Legal II. JOB PURPOSE
Conducting Compliance Audits for Company's Hospital Units
Drafting, Negotiating and Execution of Agreements/MOUs
Handling and maintaining Compliance tracking/management tool
Provide assistance in handling/managing litigations and early resolution and settlement of Legal cases where required
III. KEY RESPONSIBILITIES Core Responsibilities
Contracts Management including contract drafting, review and negotiations. The execution and handover of the signed agreement to the legal department will be the responsibility of the concerned stakeholder/functional head.
Assist /support Home Office (HO) Compliance team in their scheduled compliance audits.
Managing and tracking of Compliance Dashboard / Tool and ensuring compliances are timely updated on the tool by Users
Handling litigation, legal notices and other legal matters (including attending RAG meetings) in coordination with HO Legal team.
Maintain tracker of all litigations and legal notices and circulate to HO legal team on periodic basis.
Sanctity, Secrecy & confidentiality is required to be maintained.
Regulatory Matters including response to the show cause notices, letters, personal appearances etc.
Routing Legal advisory in coordination with HO Legal Team.
Approving and raising PRS for advocates' bills as per fees structure approved by HO Legal team.
Provide assistance in early resolution and settlement of Legal cases where required.
Other legal matters as may be advised by the management from time to time.
Manage and coordinate the material litigation by way of drafting and reviewing of pleadings & motions and ensuring all pleadings are complete and filed on time.
Liaise and manage external counsel.
Work out the legal feasibility of all new projects proposed to be undertaken by the Company and provide timely and responsive legal advice on transactional structures and strategic planning decisions
Ensure timely disposition of general queries and issues raised by the Company from time to time.
Develop and recommend company policy and position on legal issues.
Represent the Company or its officials in various legal proceedings.
Developing and adapting systems / policies / procedures for ensuring smooth functioning of financial and operational compliances in respect of corporate
Governance, ROC, RD, SEBI, RBI & other statutory authorities on corporate law compliances. IV. KEY PERFORMANCE INDICATORS
