Job Description

Job Summary:
We are looking for a seasoned M&A Legal Manager with a strong background in handling complex mergers, acquisitions, joint ventures, and corporate transactions. The ideal candidate should be a law graduate (LLB) with over 10 years of experience at a reputed law firm or in-house legal department, specializing in M&A and corporate structuring.
This position will be responsible for leading the legal due diligence, deal structuring, contract negotiations, regulatory compliance, and closing formalities of domestic and cross-border M&A transactions.
Key Responsibilities:
M&A Transaction Management
Lead legal aspects of end-to-end M&A transactions including mergers, acquisitions, joint ventures, investments, and divestitures.
Draft, review, and negotiate key legal documents including term sheets, NDAs, SPAs, SHAs, JV agreements, and transition service agreements.
Work closely with internal teams and external counsel to manage transaction timelines and deliverables.
Due Diligence & Risk Assessment
Conduct and manage legal due diligence on target companies - covering corporate, contracts, litigation, employment, IP, real estate, and regulatory aspects.
Identify and mitigate legal risks and ensure proper structuring of the transaction.
Regulatory & Compliance
Ensure compliance with applicable laws and regulations (Companies Act, FEMA, SEBI, Competition Act, etc.).
Liaise with regulatory authorities, law firms, and consultants for necessary approvals and filings.
Stakeholder & Advisor Coordination
Act as a legal representative in deal discussions with promoters, investors, bankers, and counterparties.
Coordinate with external law firms, consultants, and government authorities as required.
Post-Deal Support
Support integration teams from a legal standpoint post-deal closure.
Monitor contractual obligations and ensure compliance with deal covenants.
Key Requirements:
LLB from a recognized university; CS/LLM would be a plus.
Minimum 10 years of experience in M&A at a reputed law firm or in-house legal team.
Deep understanding of corporate, commercial, company, and securities law in India.
Strong contract drafting, negotiation, and risk assessment skills.
Hands-on experience in cross-border transactions and regulatory frameworks (preferred).
Excellent communication, stakeholder management, and advisory skills.
