Legal & Compliance Manager - A leading FMCG Company - Bengaluru
Job Summary: A leading FMCG company is keen to hire a Legal & Compliance Manager will oversee all legal, audit, and statutory compliance activities for including agreements, factory compliances, Shops & Establishment registrations, vendor and labour compliance, POSH governance, and regulatory filings related to organic food and distribution.
The role ensures that the company operates within the legal framework of central and state laws and maintains risk-free operations across corporate, factory, sales, and supply chain functions.

Designation: Legal & Compliance Manager
Reports To: DGM-Finance
Roles & Responsibilities
1. Agreement & Contract Management

  • Draft, review, negotiate, and maintain:
  • Vendor and supplier agreements
  • Distributor and super-stockist agreements
  • Marketing, influencer, service provider, and freelancer contracts
  • Employment agreements, NDAs, confidentiality clauses
  • Lease/renewal agreements for office, warehouse, and factories
  • Maintain a central repository of all contracts with renewal alerts.
  • Standardize agreement templates for departments (Sales, HR, Marketing, Quality, Operations).
2. FMCG & Organic Food Industry Compliance
  • Ensure compliance with FSSAI regulations, including:
  • License renewal and modification
  • Artwork/label approvals
  • Packaging declarations
  • Vendor/raw material compliance
  • Oversee Legal Metrology requirements:
  • MRP declaration
  • Packaging size standards
  • Retail and wholesale packaging rules
  • Support factory with:
  • Pollution Control Board (KSPCB) compliance
  • Fire safety NOC and audit documentation
  • Factory license renewal and mandatory registers
  • Ensure all organic certification-related legal requirements are followed (if applicable).
3. Shops & Establishments / Statutory Compliance
  • Manage Karnataka Shops & Commercial Establishment Act compliance for the corporate office.
  • Maintain and update statutory registers, notices, and compliance calendars.
  • Ensure compliance with:
  • Minimum Wages
  • Bonus Act
  • Gratuity Act
  • Maternity Benefit Act
  • Sexual Harassment Act (POSH)
  • Contract Labour (CLRA)
  • ESI, PF, Professional Tax
  • Ensure timely filing of monthly, quarterly, and annual statutory returns.
4. Vendor, Labour & Third-Party Compliance
  • Verify compliance of manpower vendors.
  • PF/ESI challans
  • Wage registers
  • Contract agreements
  • License validity
  • Conduct vendor audits and ensure compliance certificates are obtained.
  • Ensure documentation for contract labour as per Factory/CLRA norms.
5. HR Legal Support & POSH Governance
  • Act as the legal advisor for HR on:
  • Termination, PIP, disciplinary actions
  • Drafting notices, warnings, letters, and settlements
  • Support Internal Committee for POSH:
  • Ensure formation & renewal of IC
  • Coordinate training & awareness programs
  • Handle POSH case documentation with confidentiality
  • Maintain company policies and update them as per legal requirements.
6. Internal & External Audits
  • Prepare for all regulatory, statutory, and process audits:
  • FSSAI
  • Factory & Labour inspector audits
  • Fire safety
  • Financial/statutory audits related to compliance
  • Coordinate with auditors (internal/external) and provide all required documents.
  • Lead company-wide compliance audit every quarter and report gaps to management.
7. Legal Advisory & Risk Management
  • Respond to notices, legal queries, or escalations from government authorities.
  • Advise leadership on legal risk in business decisions.
  • Maintain legal case documentation (if any).
  • Conduct regular compliance risk assessments for all departments.
Requirements:
  • Strong understanding of:
  • FMCG & Organic food regulatory environment
  • FSSAI, Legal Metrology, Packaging rules
  • Labour & factory laws
  • POSH compliance
  • Vendor and contract compliance management
  • Excellent drafting, negotiation, and documentation skills.
  • Ability to manage multiple audits and regulatory interactions independently.
  • High ownership, discipline, and attention to detail.
Education:
  • LLB / LLM (mandatory)
  • Certification in corporate or labour law is a plus.
Experience: 3-6 years (FMCG / Organic Food / Manufacturing industry preferred)
Working days: Monday to Saturday (Saturday is WFH)
