Job Description

Responsibilities

• Structuring transactions;
• Drafting and negotiating Term Sheets;
• Drafting and negotiating Share Subscription Agreements, Share Purchase Agreements, Shareholders\xe2\x80\x99 Agreements, Co-Founders\xe2\x80\x99 Agreements, Escrow Agreements, ESOP Policies, and Advisory stocks amongst others;
• Conducting legal and compliance due diligence for startups;
• Closing formalities for transactions;
• Venture capital transactions, mergers acquisitions and general corporate matters;
• Conduct legal due diligence and prepare due diligence reports;
• Negotiation and provide general legal advice with respect to the transaction.

Qualifications

• 3+PQE

Requirements and Skills

• Experience in working collaboratively with a broad range of internal and external stakeholders;
• Experience working as an in-house lawyer or with a law firm in a commercial setting;
• Outstanding organisational skills and the ability to prioritise workload effectively;
• Ability to work at a fast pace and to tight timescales;
• A high level of professionalism in dealing with internal and external stakeholders;
• Experience working across jurisdictions would be an advantage;
• Business-related areas of expertise (e.g.; commercial, business litigation, transactions/anti-trust, compliance, intellectual property, employment, corporate governance, ethics).

• A proactive mindset and an ability to communicate effectively in practical terms with stakeholders at all levels;
• Ability to prioritise and work flexibly, navigating quickly and comfortably between various different subject matters and shifting priorities;
• An ability, in a fast-paced environment, to prioritise and manage a wide range of competing priorities.
