About your team

Bermuda Company Secretariat is part of FIL\xe2\x80\x99s Group Planning team, which services all aspects of FIL\xe2\x80\x99s mutual fund, institutional and investment businesses. The role of Company Secretariat is to provide high quality, value-add professional company secretarial services, which comply with all legal and regulatory requirements, to business partners, FIL corporate entities and managed funds.

About your role

This full-time position will be an excellent opportunity for someone with strong organisation and corporate administration skills. Reporting to the Head of Bermuda CoSec, the job holder will have the responsibility of providing local secondary corporate governance support to the other members of the team to ensure the correct operation of the Bermuda-domiciled companies within Bermuda law and regulations and to enhance the corporate governance frameworks to keep in line with regulatory and structural changes.

The role will also involve working closely with other FIL departments in Europe, the UK and Asia, including legal, fund accounting, compliance, finance and product development, as well as external advisers including notaries, auditors and legal advisers. Hybrid working arrangements, with majority of time to be based in the office.

Key Responsibilities

Provide assistant company secretarial support to the senior members of the Global company secretarial team in respect of FIL\xe2\x80\x99s mutual fund, institutional and investment businesses to ensure:

  • That the funds and entities comply with applicable local laws and regulation
  • The smooth running of the funds\xe2\x80\x99 companies\xe2\x80\x99 affairs including:
  • Coordinating and supporting the preparation for Board meetings, Board Committee meetings and other statutory meetings
  • Drafting agendas and resolutions to ensure they are accurate, coherent and that Board papers have received the necessary internal business sign-offs and that these are complete, accurate and of high enough standard to present to the Board. Upload onto FIL\xe2\x80\x99s Board meeting portal (Convene) as needed.
  • Ensuring timetables are followed
  • Providing accurate and timely information to other stakeholders in accordance with agreed deadlines
  • All regulatory and legal filings are carried out within deadlines and FIL\xe2\x80\x99s corporate database (Blueprint) records are kept up to date
  • Efficient process of all corporate governance and operational support matters related to the corporate life of a fund/company
  • Appropriate support for document execution, as may be required
  • Adequate key man cover
About you
  • Very strong business English skills
  • 3-6 years relevant company secretarial experience (or equivalent)
  • A strong team player
  • Excellent attention to detail
  • Strong delivery focus and \xe2\x80\x9ccan do\xe2\x80\x9d attitude
  • Knowledge of [local] laws and regulations would be an advantage
  • Experience of the asset management industry would be an advantage
  • Excellent communication skills
  • Ability to manage multiple priorities
