Experience 1 - 4 years

Key Responsibilities:

1. Corporate Law Compliance & Secretarial Work

Handling Companies Act, 2013 compliance for clients (Listed, private,
public, Section 8 companies)Preparation & filing of statutory forms: DIR-3 KYC, INC-22, PAS-6, PAS-3,
MGT-7, AOC-4, DPT-3, MSME Form, etc.Conducting Board Meetings, General Meetings, drafting of notices,
resolutions, and minutes.Maintaining statutory registers (Registers of Members, Directors, Charges,
Deposits).

2. ROC & MCA Filings

Timely and accurate filing of forms with the Registrar of Companies (ROC)
under various sections of companies Act 2013.

3. Advisory & Legal Drafting

Drafting shareholder agreements, NDAs, MOUs, board resolutions and
compliance checklists.Advising on compliance under FEMA, FDI reporting, and other regulatory
frameworks.Assistance in search reports, charge creation/modification, and due
diligence.

4. Client Interaction & Documentation

Liaising with clients, auditors, legal consultants and regulatory authorities
(MCA, RBI, etc.).Preparing compliance status reports and action trackers. Managing multiple client portfolios and meeting tight ROC deadlines.
Support to Audit & Tax Teams

5. Corporate governance audits

Secretarial audits (for applicable companies) SEBI compliances

Preferable Skills

Strong knowledge of Companies Act, MCA e-filing system, SEBI, FEMA Proficiency in MCA V3 Portal, Excel, Word and document drafting Good command over corporate documentation & legal language Strong organizational and multitasking abilities Effective communication & client-handling skills

Qualifications:

Qualified Company Secretary (ICSI Member) (Optional but preferred) B.Com/LLB or background in corporate law
