To assist the Company Secretary in ensuring statutory and regulatory compliance, maintaining corporate governance standards, and providing support in secretarial and legal matters of the company.
Key Responsibilities:
Assist in preparing agendas, notices, and minutes of Board, Committee, and General Meetings.
Ensure timely filing of statutory returns, forms, and documents with ROC, MCA, SEBI, RBI, and other regulatory authorities.
Maintain statutory registers, records, and secretarial files as per the Companies Act and other applicable laws.
Assist in drafting resolutions, agreements, policies, and corporate disclosures.
Support in preparation of annual reports, directors' reports, and corporate governance reports.
Liaise with auditors, regulators, stock exchanges, and other stakeholders as required.
Monitor changes in legislation and regulations, ensuring compliance with corporate laws.
Provide secretarial support for corporate actions such as incorporation, mergers, share transfers, and related activities.
Assist in compliance under SEBI (LODR), FEMA, and other applicable corporate laws.
Ensure effective communication and coordination within the organization on compliance matters.
Key Skills & Competencies:
Strong knowledge of the Companies Act, SEBI regulations, FEMA, and corporate governance.
Good drafting, communication, and presentation skills.
Attention to detail with strong organizational skills.
Ability to handle multiple assignments under strict deadlines.
Proficiency in MS Office and knowledge of MCA/SEBI online portals.
Qualification & Experience:
CS qualification (completed).
1-3 years of relevant experience in secretarial and compliance functions (for Executive role).
Exposure to listed company compliances will be an added advantage.
