Position:Executive - Company Secretary Location:Surat Experience:2 - 3 Years Industries:Chemical Responsibilities:
Regulatory Filings & Compliance:
Prepare and file documents, forms, returns, and applications with regulatory authorities such as the Registrar of Companies (RoC), Stamp Authority, Depository (NSDL), CDSL, RTA and RBI.
Ensure compliance with listed company requirements, including stock exchange regulations and SEBI Act.
Meeting Management:
Prepare and circulate papers for board, committee, and shareholders' meetings, including notices, agendas, and draft resolutions.
Conduct board and committee meetings, as well as shareholders' meetings, and facilitate postal ballot processes.
Records Management:
Maintain statutory books and registers, including minutes books, charges, members' records, related party transactions, and investments registers.
Annual Report Preparation:
Draft annual reports, directors' reports and Corporate Governance report. Provide advice on Business Sustainability Report.
Security issues and allotment activities:
Handle securities issue, allotment, transfer, transmission, de-mat, and re-mat of shares.
Manage company registration with Depository, obtain ISIN of securities, and handle corporate actions such as dividend distribution and ESOPs.
Compliance:
Ensure compliance with FEMA regulations related to Foreign Direct Investment (FDI).
Communicate and coordinate with regulatory authorities, stock exchanges, Depository, RTA, RBI, Stamp department, RoC, consultants, and legal professionals.
Handle matters under SEBI Insider Trading Regulations and SEBI SAST Regulations.
Risk Management:
Work with relevant departments to identify legal and compliance risks.
Implement measures to mitigate legal and regulatory risks.
Ethics & CSR:
Ensure finalisation & execution of CSR projects.
Ensure that the company's activities align with ethical standards and industry best practices.
Collaboration:
Collaborate with internal departments, external legal counsel and regulatory bodies to address legal and compliance matters.
ESOP:
Handle overall ESOP process and manage the track of the same.
