As a Corporate Secretary, you will be responsible for overseeing and managing the corporate secretarial functions across multiple group entities. You will ensure compliance with statutory regulations, corporate governance best practices, and industry standards.
Key Responsibilities:
Oversee corporate secretarial functions for multiple group companies, ensuring timely and effective preparation of agendas, minutes, and forms for Investment Managers, Trustees, and other group entities. Understanding of DRHP filings.
Maintain and manage statutory registers and records as required under the Companies Act, 2013, ensuring compliance across all group entities.
Track all new regulations, circulars, or amendments (including SEBI AIF Regulations, SEBI Regulations for Intermediaries, Companies Act, etc.) and develop immediate action plans.
Lead the adoption and implementation of tech-driven solutions to improve compliance and governance processes.
Assist in conducting regular training sessions for Directors, employees, and other stakeholders on CSR, PIT, AML, POSH, and Whistleblower policies.
Oversee CSR programs to ensure alignment with regulatory requirements and company goals.
Monitor compliance with shareholder agreements across portfolio companies.
Ensure effective implementation and adherence to company policies across all group entities.
Liaise and coordinate with external Company Secretary firms as needed.
Requirements:
Qualification: Qualified Company Secretary (CS)
Experience: 6-8 years of experience in corporate governance and compliance, preferably in listed company environments. Strong knowledge of SEBI Regulations (PIT/LODR/AIF), RBI Master Directions for NBFCs, FEMA, and the Companies Act, 2013.
Skills: Deep understanding of Company Law, Secretarial Standards, and related regulations. Strong communication and coordination abilities.
