Description



Apple's Corporate Law Group is looking for a dual qualified Corporate Counsel, based in Bangalore, India, to support Apple's Indian entities and regional expansion. You will have the opportunity to work with a dynamic, experienced, and highly skilled team on issues impacting Apple's business in India with a particular focus on corporate governance of legal entities, business expansion, intercompany transactions, post-acquisition integrations, and complex corporate reorganizations.



You will manage corporate governance, compliance and maintenance of Apple's India entities, including board and shareholder meetings, MCA filings, and ROC compliance.



You will work closely with Apple's Finance department to provide legal support for Tax, Treasury, Accounting, and other teams, including supporting the statutory audit process and treasury activities for our Indian entities.","responsibilities":"Manage corporate governance and compliance for Apple's India entities, including board and shareholder meetings, MCA filings, and ROC compliance.

Advise on business expansion initiatives, new entity formations, and corporate restructurings in India.

Work closely with Finance, Tax, and Treasury teams on intercompany agreements, intercompany financing, capital contributions, dividends, and cross-border transactions.

Support statutory audit processes and liaise with external auditors and legal counsel.

Ensure compliance with applicable Indian corporate laws, including Companies Act, FEMA, FDI regulations.

Manage and coordinate external local counsel, practicing company secretaries, and government authorities.

Draft and review corporate documents, board resolutions, powers of attorney, and regulatory filings.

Maintain corporate records, registers and statutory books as per the applicable laws and regulations

Collaborate with global teams on post-acquisition integrations and corporate reorganizations.



Preferred Qualifications



Prior in-house experience at a multinational technology company or experience at a top-tier law firm.

Experience managing subsidiary structures and corporate maintenance, including board/shareholder meetings, corporate filings, and reorganizations.

Familiarity with FDI regulations, FEMA compliance, RBI filings, and related tax or transfer pricing matters.

Experience supporting statutory audits and coordinating with external auditors.

Skilled in collaborating with cross-functional teams to align internal and external stakeholders, managing annual reporting cycles, and overseeing key governance events.

Sound judgment, strong interpersonal skills, and the ability to prioritize and manage multiple matters proactively with cross-functional stakeholders under time pressure.

Ability to clearly organize and inform through concise written and verbal communications.

Excellent ability to analyze problems and come up with practical solutions.

Strong collaboration skills to successfully work across business functions and geographies.

Self-starter who is curious, likes learning, loves technology, and thrives in a dynamic environment.

Experience with corporate legal matters in other jurisdictions is a plus.



Minimum Qualifications



Licensed to practice law in India.

Qualified Company Secretary (ACS) with a membership of the Institute of Company Secretaries of India (ICSI)

LLB or equivalent law degree from a Premier school.

At least 5 years of legal experience in corporate law, with significant focus on Indian legal entity structures, corporate governance, and statutory reporting compliance.","internalDetails":null,"eeoContent":null
