What You Will Do as a Corporate Counsel
We are seeking a highly skilled, detail-oriented Legal Counsel in India to support the Legal function of a U.S.-based public company. This role combines commercial contracting, legal operations, compliance, and global legal support, and is ideal for a lawyer who wants to work closely with a U.S. legal team and own meaningful workstreams across the business. The role will operate as an integrated member of the Legal department, partnering daily with our U.S. attorneys and cross-functional stakeholders.Draft, review and negotiate general commercial agreements (such as SaaS, vendor, and other technology services agreements)
Draft, maintain, and update internal policies and contractual documentation with customers, consumers, and suppliers, including terms of use, privacy policies, and data protection agreements.
Maintain and update internal policies and compliance documentation.
Support M&A activity, from diligence and transaction documentation to integration and governance, and other governance work.
Conduct legal research and prepare concise memos on regulatory topics (U.S. or global, as assigned).
Oversee entity management tasks, including maintaining corporate records and preparing draft resolutions.
Prepare board materials, agendas, and meeting packets (templates provided).
Support budgeting, invoice review, and coordination with outside counsel.
Maintain accurate matter reports for internal stakeholders.
What You BringLL.B. or LL.M. from a from a reputable, accredited college or university that focused on hands on collaborative learning experiences.
5-8 years of combined law firm and/or in-house experience supporting multi-national US based organizations
High proficiency with legal research tools commonly used in the U.S.
Demonstrated ability to collaborate remotely and work effectively across time zones
Strong drafting and redlining skills for commercial agreements.
Excellent written and verbal communication in English.
Experience working with U.S., UK, or global legal teams (preferred).
Ability to juggle multiple matters, prioritize effectively, and operate independently.
High attention to detail and strong organizational discipline.
Comfort with technology and legal tools (CLM, document management, project trackers).
An ability to effectively work with all levels of the organization, including the ability to clearly and effectively explain complex legal concepts and issues to senior leadership and non-legal stakeholders, ensuring informed decision-making at the executive level.
