Demonstrates experience in general corporate matters, including corporate organization, securities compliance, drafting transactional documents, license agreements, employment law, immigration law, data privacy, risk management asset-backed financing, and contract management. Experience in trade secrets, advertising law, registration and other resolutions specific to the computer and technology industry as well as SEC reporting. Requires a law degree.

Seeking a seasoned and experienced Senior Legal Counsel & Company Secretary - India to be part of India Legal Team for the Indian operations of a multinational corporation. The role will act as a key advisor to local leadership and global stakeholders, ensuring alignment with global policies while maintaining full compliance with Indian laws and governance standards.
Key Responsibilities
Legal Advisory & Cross-Border Support
Be part of the legal team and serve as the trusted business legal partner for the India business, supporting senior management on corporate, commercial, regulatory, and employment matters.
Draft, review, and negotiate complex commercial, technology, licensing, distribution, and services agreements, including cross-border contracts.
Support global and regional transactions, including M&A, joint ventures, restructuring, and inter-company arrangements.
Manage disputes, litigation, arbitration, and investigations in India, in coordination with global legal teams and external counsel.
Provide practical, business-focused legal guidance aligned with global risk appetite and compliance frameworks.
Act as the Company Secretary for Indian group entities, ensuring compliance with the Companies Act, 2013 and applicable SEBI, FEMA, and RBI regulations.
Plan, manage and execute Board, Committee, and General Meetings for Indian entities, including agendas, papers, minutes, and resolutions.
Maintain statutory records, filings, and disclosures with ROC, MCA, RBI, and other regulators.
Advise Boards and senior management on corporate governance best practices and evolving regulatory requirements.
Support corporate actions such as incorporations, capital structuring, inter-company transactions, and entity rationalization.

Qualifications & Experience
LLB from a premier university; enrolled with the Bar Council of India.
Qualified Company Secretary (ACS / FCS) with the Institute of Company Secretaries of India (ICSI).
12+ years of PQE, with significant in-house experience in an MNC or large corporate environment.
Strong experience in cross-border transactions, global compliance frameworks, and Indian regulatory matters.
Proven ability to engage with Boards, C-suite executives, and global stakeholders.
