Key Skills:
Candidate should have experience of working on
SEBI Regulations like LODR, ICDR and SBEB & SE Regulations
Companies Act and Rules relating to issue of capital, board, and general meetings.
Desirable but not mandatory: Accounting principles and Taxation aspects around
Equity- based compensation
Highly desirable but not mandatory: Efficient in drafting legal documentations, letters,
agreements, etc.
Have basic understanding of how different market participants operate like stock exchange,
proxy firms and investors.
Efficient in working on Power point, Excel and Word (in same order of importance).
Extremely good in communication as most of the interaction happens with top management,
promoters, NRC, and Board. The profile is purely client facing where you will co-ordinate and
work with different stakeholders like HR, Finance, Legal heads and top management.
Attention to details.
Solution oriented creative approach.
Aptitude to specialize in a domain i.e. expert in all aspects of equity-based compensation
Consulting experience with one or more of the above attributes shall be preferred.
JOB PROFILE
a. We work with different types of clients listed, unlisted, private investor backed, startups, etc.
b. We design and conceptualize stock option plans, cash settled plans and such other compensation
plans in compliance with relevant laws and regulations.
The process generally involves understanding client expectations of why they want to
implement a stock option plan.
Based on such understanding, analyzing, modeling, and presenting different scenarios to
help in decision making.
Go to NRC and Board meetings as experts when the proposal is approved.
Drafting of legal documents and reverting to the queries of internal legal team
