Role Overview 
 Pidilite Industries Limited is seeking a highly experienced and strategic Compliance Head - Legal & Contractual Obligations to lead its global and domestic compliance framework.
 This newly created role will focus on building, implementing, and continuously strengthening the company's compliance systems, ensuring adherence to statutory laws, contractual obligations, and global ethical standards across operations. 
 The incumbent will provide legal oversight, ensure risk mitigation, and foster a culture of compliance, governance, and accountability across business divisions in India and international markets (SAARC, Middle East, Africa, and Brazil). 
Key Responsibilities 
 1. Legal & Contractual Compliance Oversight 
 Provide positive assurance of compliance with applicable laws, regulations, and contractual obligations, including new acquisitions and joint ventures. 
 Ensure substantive compliance in business operations across multiple areas such as: 
 Environment Law 
 Competition Law 
 Factories Act 
 Anti-Bribery and Anti-Corruption Regulations 
 Sanctions, Territory Restrictions, and ESG frameworks 
 Monitor compliance of contractual obligations for international distributors through business managers and/or external advisors in key geographies. 
 Conduct periodic legal audits and reviews, prepare observation reports, and ensure timely implementation of corrective actions. 
 2. Compliance Framework Development & IT Enablement 
 Evaluate, enhance, and manage IT-enabled compliance systems for both substantive and technical compliance requirements. 
 Drive automation and process digitization to improve compliance monitoring and reporting efficiency. 
 Manage and periodically upgrade the Online Compliance Tool to ensure comprehensive tracking and documentation of compliance obligations. 
 Develop and implement structured processes for legal clearances and internal guidance notes across business operations. 
 Prepare and maintain a consolidated repository of all applicable laws and regulations (domestic and international), ensuring timely updates based on legal changes. 
 3. Risk Management & Governance 
 Identify, assess, and mitigate legal and contractual risks across diverse business operations. 
 Develop risk control mechanisms and provide effective risk mitigation plans while ensuring business continuity. 
 Evaluate contractual exposures in complex commercial transactions and ensure appropriate safeguards are built in. 
 Lead the design of internal controls to prevent non-compliance and strengthen governance. 
 Ensure periodic MIS and compliance reporting to the PEC and senior management. 
 4. Stakeholder Capability Building & Awareness 
 Drive organization-wide awareness and capability-building initiatives on compliance and risk management. 
 Conduct training programs and workshops on key legal and compliance topics such as: 
 Anti-Bribery & Corruption Laws 
 Sanctions & Data Protection 
 Competition Law 
 Environmental & Factory Laws 
 Build internal expertise on emerging legal areas and upcoming regulatory changes. 
 Serve as a trusted advisor to cross-functional teams on compliance implications of new business initiatives. 
 5. Legal Process Improvement & Best Practices 
 Develop research-based frameworks and best practices for effective compliance management. 
 Benchmark Pidilite's compliance systems against industry standards and global best practices. 
 Partner with business units to identify operational gaps and strengthen compliance through legal audits. 
 Support the Operations team in identifying compliance-driven opportunities for process enhancement. 
Skills & Competencies 
 Strong legal acumen and understanding of corporate, commercial, and compliance laws. 
 Ability to develop and manage IT-enabled compliance systems. 
 Excellent strategic thinking and business judgment with a solution-oriented mindset. 
 Strong analytical, organizational, and project management skills. 
 Exceptional written and verbal communication abilities. 
 Proven leadership skills with the ability to influence and collaborate across teams and geographies. 
 Ability to handle multiple complex matters under tight timelines with accuracy and attention to detail. 
 High ethical standards and commitment to integrity, governance, and transparency. 
Education & Experience 
 LL.B. or B.A. LL.B. from a reputed university (mandatory). 
 Chartered Accountant (CA) qualification is a strong advantage. 
 12-15 years of post-qualification experience, with at least 5 years in the manufacturing sector. 
 Proven track record of managing compliance and risk in large, multi-location organizations. 
Other Details 
 The role involves coordination with international legal and business teams across SAARC, Middle East, Africa, and Brazil. 
 Occasional travel may be required for audits, reviews, and international compliance engagements.
