The Company Secretary will be responsible for ensuring the company's compliance with statutory and regulatory requirements, facilitating effective corporate governance practices, and providing strategic support to the Board and senior management. The role demands a high level of integrity, attention to detail, and a deep understanding of corporate laws and regulatory frameworks applicable to listed entities.
Key Responsibilities:
Ensure full compliance with the
Companies Act, SEBI (LODR) Regulations
, and all other applicable corporate laws and guidelines.
Manage and coordinate all
Board, Committee, and General Meetings
, including preparation of agendas, drafting and circulation of minutes, and timely statutory filings.
Liaise and maintain effective communication with
Registrar of Companies (ROC)
,
Stock Exchanges
,
SEBI
, and other statutory/regulatory authorities.
Draft, maintain, and update
statutory registers
,
board resolutions
,
policies
, and
disclosure documents
as required.
Advise the Board and senior management on matters of
corporate governance, risk management, and compliance frameworks

Handle
investor relations
from a compliance perspective, including disclosures, filings, and responses to shareholder queries.
Ensure accurate and timely filing of returns, forms, and reports as required under various laws and regulations.
Support the company in maintaining high standards of ethics, transparency, and governance in all its operations.
Candidate Profile:
Qualified Company Secretary (ACS/FCS)
with a minimum of
3 years of post-qualification experience
in a listed or professionally managed organization.
Thorough understanding of the
Companies Act, SEBI (LODR), FEMA
, and other relevant corporate and securities laws.
Proven ability to draft and interpret legal and compliance documents accurately.
Strong
communication, drafting, and negotiation
skills.
Proactive, detail-oriented, and capable of handling multiple priorities independently.
Demonstrated leadership and interpersonal skills with the ability to interact effectively with senior management and regulatory authorities.
