We're now looking for a qualified and detail-oriented
Company Secretary
to manage end-to-end secretarial functions, statutory compliance, and corporate governance initiatives. The who understands the unique needs of fast-moving
businesses, and is ready to take ownership of Corporate Affairs functions across different verticals. If you want to grow with a company from the ground up, this might be your place.
Key Responsibilities
Ensure complete compliance with the Companies Act, 2013, Secretarial Standards (SS-1 & SS-2), and all MCA/ROC regulations.
Plan, organize, and manage Board Meetings, Committee Meetings, and Annual General Meetings, including drafting notices, agendas, explanatory notes, and preparing accurate minutes.
Maintain all statutory registers including Members, Directors & KMP, Charges, Share Transfers, Loans/Guarantees, and Related Party Transactions.
Keep minute books, attendance registers, agenda files, resolutions, and all secretarial documents updated and audit-ready.
Handle annual filings such as AOC-4 (XBRL & Non-XBRL, as applicable), MGT-7/7A, DPT-3, and DIR-3 KYC, as well as event-based filings like DIR-12, PAS-3, CHG-1, CHG-4, MGT-14, DIR-6, and any other statutory forms.
Use and manage a
Class 3 DSC
to authenticate, sign, verify, and approve all MCA/ROC filings on the V3 /V2 portal.
Draft and review the Directors' Report and coordinate with auditors for statutory audits and XBRL preparation/validation.
Oversee the formation of new companies, including name reservation, drafting MOA and AOA, filing incorporation documents, and completing post-incorporation formalities.
Manage director-related compliances such as DIN application, DSC issuance/renewal, and MCA V3/ V2 portal registration.
Maintain a comprehensive compliance calendar to ensure all statutory deadlines are met.
Advise management on changes in company law, SEBI regulations, corporate governance requirements, and regulatory amendments.
Draft resolutions, legal documents, policies, notices, and other governance papers as required.
Liaise with auditors, bankers, legal advisors, and government authorities for smooth compliance operations.
Maintain proper documentation control, secure record-keeping, and assist in any secretarial audits.
Draft, review, and negotiate contracts and agreements to ensure legal compliance.
Facilitate effective communication and coordination with stakeholders while ensuring compliance with regulatory requirements.
Required Skills & Qualifications
Qualified Company Secretary (ICSI)
with
3-5 years
of practical experience in secretarial, MCA, and ROC compliance roles.
Strong understanding of the
Companies Act, 2013
, Secretarial Standards, corporate governance practices, and regulatory compliance for listed and unlisted companies.
Proficiency in MCA V3 portal, XBRL filings
, and event-based statutory filings.
Comprehensive exposure to
corporate, secretarial, and FEMA/RBI compliance
; basic knowledge of SEBI regulations is preferred.
Mandatory skills: legal drafting, contract drafting and review, board meeting management, minute writing, and statutory filing management.
Knowledge of bookkeeping, audits, and employee reimbursements is an added advantage.
Excellent organizational, documentation, communication, and time-management skills with strong attention to detail.
Ability to work independently, manage multiple responsibilities, and ensure compliance with deadlines.
