The Company Secretary will be responsible for ensuring that the company complies with all statutory and regulatory requirements and that decisions of the Board of Directors are implemented. The role requires a professional who can act as a vital link between the management, the board, shareholders, and regulatory authorities while ensuring robust corporate governance and legal compliance.
Key Responsibilities:
1. Statutory Compliance
Ensure compliance with the Companies Act, SEBI Regulations, FEMA, and other applicable laws.
Maintain and update statutory registers, records, and filings (ROC returns, annual filings, etc.).
Draft and file necessary forms, resolutions, and returns with the Registrar of Companies and other statutory authorities.
2. Board & Committee Support
Organize, prepare, and circulate board meeting notices, agendas, and minutes.
Coordinate and attend board, committee, and general meetings, ensuring proper documentation and compliance.
Advise the Board and management on corporate governance best practices and compliance implications.
3. Corporate Governance
Develop and monitor internal policies to ensure corporate governance and ethical business practices.
Liaise with directors and senior executives on governance and compliance matters.
4. Legal & Regulatory Liaison
Act as the point of contact for regulators, auditors, and legal advisors.
Draft, review, and vet legal documents, contracts, and agreements.
