Role Overview:
The Company Secretary will play a pivotal role in ensuring that the firm and its client companies comply with statutory and regulatory requirements. The position requires a proactive professional who can independently manage secretarial compliances, corporate governance processes, and provide strategic legal and regulatory advice to clients.
Key Responsibilities:
1. Secretarial & Compliance Management
Ensure compliance with the Companies Act, 2013 and other applicable laws for client companies.
Prepare and file ROC forms (INC, MGT, AOC, DIR, PAS, SH, etc.) in a timely manner.
Conduct and manage Board Meetings, Annual General Meetings (AGMs), and Committee Meetings -- including drafting of agendas, notices, and minutes.
Maintain statutory registers, records, and minutes books.
Support in event-based filings such as change in directors, share allotments, capital restructuring, and registered office changes.
2. Corporate Governance & Advisory
Advise management and clients on good governance practices, board procedures, and corporate structure.
Assist in designing optimal corporate and ownership structures during incorporations, mergers, or conversions (LLP to Pvt. Ltd., etc.).
Liaise with regulatory authorities such as MCA, ROC, RD, and NCLT as required.
3. Legal, Financial, and Strategic Support
Support clients in due diligence, investment documentation, and regulatory audits.
Draft and review shareholder agreements, board resolutions, and other corporate documents.
Collaborate with finance and legal teams for business restructuring, fundraising, and compliance planning.
4. Client Relationship Management
Serve as the primary compliance advisor for assigned client portfolios.
Coordinate with clients for timely collection of documents and ensure smooth filing processes.
Prepare compliance dashboards and status updates for clients and management.
Qualifications & Skills:
Qualified
Company Secretary (ACS)
from the Institute of Company Secretaries of India (ICSI).
2-5 years of post-qualification experience (preferably in a consulting or advisory environment).
Strong knowledge of the
Companies Act, FEMA, LLP Act
, and related laws.
Excellent drafting, communication, and interpersonal skills.
Proficiency in MCA portal operations, e-filing, and compliance software.
Ability to manage multiple client accounts with attention to detail and timelines.
