The Company Secretary will be responsible for ensuring that the company complies with all statutory and regulatory requirements. The role involves managing company records, handling corporate governance, organizing board meetings, and providing legal and strategic advice to the management and board.
Key Responsibilities:
Ensure compliance with the
Companies Act, 2013
and other statutory regulations.
Prepare, maintain, and file
statutory registers and records
such as share register, minutes of meetings, and annual returns.
Organize and attend
Board Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs)
.
Draft board resolutions, meeting notices, and minutes.
Liaise with government authorities such as
ROC, SEBI, RBI, and Stock Exchanges
.
Handle
company incorporation, share allotment, transfer, and other secretarial work
.
Assist in
drafting legal documents, contracts, and policies
.
Advise the Board on
corporate governance, legal risks, and compliance frameworks
.
Ensure timely filing of
annual reports and returns
with the Registrar of Companies.
Coordinate with auditors, regulators, and external consultants as required.
Qualifications & Requirements:
Qualified
Company Secretary (Member of ICSI)
.
Bachelor's degree in Commerce, Law, or related field preferred.
Minimum
1-3 years of experience
(for junior roles) /
5+ years
(for senior roles).
Strong understanding of
corporate laws, governance, and secretarial practices
.
Excellent
communication, drafting, and analytical skills
.
Proficiency in
MS Office and MCA online filing portals
.
