Ensure compliance with corporate laws, regulations, and statutory requirements.
Organize and manage board meetings, annual general meetings (AGMs), and committee meetings, including preparing agendas, minutes, and resolutions.
Maintain statutory registers and records, including shareholding, directors, and other corporate filings.
File necessary documents with regulatory authorities such as the Registrar of Companies (RoC), SEBI, and stock exchanges.
Advise the board on corporate governance best practices and legal obligations.
Liaise with external regulators, auditors, legal advisors, and stakeholders.
Monitor changes in relevant legislation and the regulatory environment and take appropriate action.
Assist in drafting and reviewing legal documents, contracts, and policies.
Support mergers, acquisitions, and other corporate restructuring activities.
Ensure timely and accurate disclosure of financial and non-financial information.
Qualifications:
Qualified Company Secretary (Member of ICSI).
In-depth knowledge of corporate laws, SEBI regulations, and governance practices.
Strong organizational, communication, and interpersonal skills.
High level of integrity and professionalism.
Preferred Skills:
Familiarity with secretarial software and digital compliance tools.
Ability to manage confidential information with discretion.
Strong analytical and problem-solving abilities.
